Layher and Harland L. Layher <br />(hereinafter referred to as "Layher "), and Marvin A. Koepp and Marian J. Koepp, husband <br />and wife (hereinafter referred to as "Koepp "). <br />RECITALS: <br />WHEREAS, Layher is the owner of that property described on Exhibit A attached <br />hereto and incorporated herein by reference (the "Layher Property "). Koepp is the owner <br />of the adjacent property described on Exhibit B attached hereto and incorporated herein <br />by reference (the "Koepp Property "). A Well and Pump have been installed on the property <br />line between the Layher and Koepp properties as shown on the attached Exhibits. The <br />well and pump are owned jointly by the parties. Layher shall grant Koepp (a) the rights <br />of ingress, egress and regress to the Well and Pump over the Layher property, and Koepp <br />shall grant Layher the rights of ingress, egress and regress to the Well and Pump over the <br />Koepp property, subject to all the terms and conditions set forth herein. <br />AGREEMENT: <br />NOW, THEREFORE, in consideration of the aforesaid recitals, and other good and <br />valuable consideration, Layher hereby declares that the Layher Property shall be held, sold <br />and conveyed subject to the following covenants, easements and conditions which shall <br />run with the Layher Property, burden the Layher Property and be binding on all parties <br />having a right, title or interest therein along with their heirs, successors and assigns and <br />which shall inure to the benefit of Koepp, its successors and /or assigns, and Koepp hereby <br />declares that the Koepp Property shall be held, sold and conveyed subject to the following <br />covenants, easements and conditions which shall run with the Koepp Property, burden the <br />Koepp Property and be binding on all parties having a right, title and interest therein, along <br />with their successors and assigns and which shall inure to the benefit of Layher, its <br />successors and /or assigns. <br />1. Layher does hereby grant, bargain, sell and convey to Koepp and Koepp <br />does hereby grant, bargain, sell and convey to Layher, their successors and /or assigns, <br />agents, licensees and invitees, a perpetual non - exclusive easement for the use of, <br />maintenance of and access to and from the well and pump, and it is understood and <br />agreed that both parties shall have the right to assign these easement rights and benefits <br />accruing hereunder for the purposes provided herein. <br />
