<br />FIRST AMENDMENT TO DEED OF TRUST
<br />Made as of January 20, 2004
<br />THIS AMENDMENT TO DEED OF TRUST, ASSIGNMENT OF RENTS, SECURITY
<br />AGREEMENT AND FINANCING STATEMENT (the "First Amendment ") is made as of the
<br />day of January, 2004, by and between LEON PLASTICS INC., a Delaware corporation
<br />(hereinafter called "Trustor "), whose mailing address is 4901 Clay Avenue, S.W., Wyoming,
<br />Michigan 49509, and whose federal identification number is 38- 2546793, COMMONWEALTH
<br />LAND TITLE INSURANCE COMPANY (hereinafter called "Trustee "), whose mailing address
<br />is 2019 Walton Road, St. Louis, Missouri 63114, and FIFTH THIRD BANK (WESTERN
<br />MICHIGAN) (hereinafter called "Beneficiary "), whose mailing address is 111 Lyon Street,
<br />N.W., Grand Rapids, Michigan 49503, and whose federal identification number is
<br />RECITALS
<br />A. The Trustor granted a Deed of Trust, Assignment of Rents, Security Agreement
<br />and Financing Statement to the Beneficiary covering the premises described on Exhibit A
<br />attached hereto dated as of September 25, 2002, and recorded with the office of the Hall County
<br />Register of Deeds on September 27, 2002, as Document Number 200210366 (the "Deed of
<br />Trust "), securing performance of the covenants and agreements contained in the Deed of Trust
<br />and payment of all obligations and indebtedness.
<br />B. The Trustor and the Beneficiary wish to amend the Deed of Trust to revise certain
<br />definitions and references contained therein;
<br />C. The Trustor and the Beneficiary desire to amend the Deed of Trust for the reasons
<br />set forth above but without the necessity of re- executing the Deed of Trust.
<br />NOW, THEREFORE, for good and valuable consideration, the sufficiency of which is
<br />hereby acknowledged by the parties, the parties hereto agree as follows:
