<br /> Exhibit A attached hereto and incorporated herein by reference (the
<br /> "Mortgaged Property" ) ; and
<br /> TOGETHER WITH all rents, profits, royalties, income and
<br /> other benefits derived from the Mortgaged Property (collectively,
<br /> the "rents" ) , all leases, subleases or contracts covering the
<br /> Mortgaged Property or any portion thereof now or hereafter existing
<br /> or entered into, and all right, title and interest of Trustor
<br /> thereunder, all right, title and interest of Trustor in and to any
<br /> greater estate in the Mortgaged Property owned or hereafter
<br /> acquired, all interests, estate or other claims, both in law and in
<br /> equity, which Trustor now has or may hereafter acquire in the
<br /> Property, all easements, rights-of-way, tenements, hereditaments
<br /> and appurtenances thereof and thereto, all water rights, all right,
<br /> title and interest of Trustor, now owned or hereafter acquired, in
<br /> and to any land lying within the right-of-way of any street or
<br /> highway adjoining the Mortgaged Property, and any and all alleys
<br /> and strips of land adjacent to or used in connection with the
<br /> Mortgaged Property, any and all buildings and improvements now or
<br /> hereafter erected thereon, including, but not limited to, the
<br /> fixtures, attachments, appliances, equipment, machinery and other
<br /> articles attached to, used in connection with or purchased with
<br /> proceeds from the Loan, such buildings and improvements (the
<br /> "Improvements" ) , and all the estate, interest, right, title or
<br /> their claim or demand which Trustor now has or may hereafter
<br /> acquire in the Property, and any and all awards made for the taking
<br /> by eminent domain, or by any proceeding or purchase in lieu
<br /> thereof, of the whole or any part of the Trust Estate, including,
<br /> without limitation, any awards resulting from a change of grade of
<br /> streets and awards for severance damages, and all furnishings,
<br /> inventory, documents, instruments and all other goods owned by
<br /> Trustor.
<br /> The Mortgaged Property and the entire estate and interest
<br /> conveyed to Trustee are referred to collectively as the "Trust
<br /> Estate . "
<br /> FOR THE PURPOSE OF SECURING:
<br /> A. Payment of indebtedness in the amount of $507, 004 with
<br /> interest thereon as evidenced by Trustor' s promissory note (the
<br /> "Note" ) dated June l, 1999, made by Trustor to Issuer and assigned
<br /> by Issuer, without recourse, to the Bond Trustee and the payment of
<br /> amounts due and the performance by Trustor of each and every term
<br /> of the Loan Agreement dated as of June 1, 1999, and of the Project
<br /> Loan Documents; and
<br /> B. Payment of all sums advanced by Beneficiary to protect
<br /> the Trust Estate.
<br /> C. All additional amounts payable by Trustor under the Loan
<br /> Agreement .
