<br /> New York,New York 10005-1180 its successors and assigns, as trustee under the Pooling and
<br /> Servicing Agreement dated as of December 23, 1998 subject to the Multi-Party Agreement dated
<br /> as of December 23, 1998,all of the assignor's rights,title and interest in and to thzt certain deed
<br /> of trust executed on February 17, 1998,by Jim D.Narber and Donna Narber,husband and wife,
<br /> to Stewart Title Guaranty Company,Trustee,recorded in Instrument No. 98-101382,in the office
<br /> of the Register of Deeds for Hall County,Nebraska, on February 18, 1998, given to secure an
<br /> indebtedness in the original principal sum of$340,000, as evidenced by a promissory note
<br /> executed on February 17, 1998,and secured by the real property described in Exhibit A.
<br /> IN WITNESS WHEREOF, said assignor, has caused this Agreement to be signed
<br /> in its name by its President on this 28�'day of December, 1998.
