<br />THAT WHEREAS, all of the indebtedness secured by the Deed of Trust executed by Growth
<br />Management Corporation - Nebraska, a Nebraska corporation ( "Trustor ") to TierOne Bank,
<br />formerly known as First Federal Lincoln Bank as ( "Trustee ") for the benefit of TierOne Bank,
<br />formerly known as First Federal Lincoln Bank the ( "Beneficiary") named therein, dated June 30, 1997,
<br />and recorded on July 16, 1997, as Instrument No. 97- 105665, in the office of the Register of Deeds, Hall
<br />County, Nebraska, has been paid, and said Beneficiary has requested in writing that this Deed of
