<br />ASSIGNMENT OF BENEFICIAL INTEREST UNDER DEED OF TRUST
<br />KNOW BY ALL MEN THESE PRESENT S, that Fleet National Bank ( "Assignor ") for good
<br />and valuable consideration to it in hand paid by the Countrywide Home Loans, Inc., f/k/a
<br />Countrywide Funding Corporation ( "Assignee "), the receipt of which consideration is hereby
<br />acknowledged, does hereby assign, transfer and set over unto Assignee all its rights, title and
<br />beneficial interest in and to that Deed of Trust executed by Roy G. Towler and Rachael L.
<br />Towler, husband and wife, unto Assignor, dated October 5, 2000, covering the following

<br />and secured by the instrument aforesaid.
