The ROFR Agreement grants Holder a right of first refusal with respect to any voluntary <br />sale or transfer of the real property that is subject to the ROFR Agreement. THE RIGHT <br />OF FIRST REFUSAL IS INEFFECTIVE AND NONBINDING UPON ANY SECURED <br />LENDER. <br />2. This Memorandum is recorded solely to provide notice of the existence of the ROFR <br />Agreement. All terms, conditions, rights, obligations, exceptions, procedures, and <br />limitations are contained in a separate agreement, which is incorporated herein by <br />reference. <br />3. The right of first refusal is binding upon Owners and their heirs, personal representatives, <br />successors, assigns, and all persons acquiring an interest in the property with notice <br />thereof, to the extent provided in the ROFR Agreement. <br />4.
