202604212 The South Half of the Northwest Quarter (S'/2NW1/4) of Section Twenty -Five (25), Township Eleven (11) North, Range Nine (9) West of the 6th P.M., Hall County, Nebraska. CERTIFICATION OF TRUST BARRY W. NIEDFELT and JOHN C. NIEDFELT being first duly sworn upon oath, depose and state that: 1. On December 26, 2003, Jerome W. Niedfelt ("Grantor" or "Settlor") executed that certain Amendment and Restatement of the Jerome W. Niedfelt Revocable Trust Agreement dated December 26, 2003, with a Supplemental Agreement dated August 24, 2012 (the "Jerome W. Niedfelt Trust") wherein he designated himself and Doralene F. Niedfelt as initial Co - Trustees; 2. Jerome W. Niedfelt died on June 26, 2006; 3. Upon the death of Jerome W. Niedfelt and pursuant to ARTICLE XI of the Jerome W. Niedfelt Trust, Settlor Jerome W. Niedfelt provided that upon the settlement of his Estate a separate Trust to be known as the Jerome W. Niedfelt Family Trust (the "Family Trust") was to be created and funded. Pursuant to ARTICLE XIII of the Jerome W. Niedfelt Trust, Doralene F. Niedfelt, the Settlors Spouse, may appoint one or more of the Grantor's Children or such other person or trust department of a bank or other financial institution, having assets under management in excess of Ten Million dollars to serve with the Grantor's Spouse as Co -Trustees of the Family Trust. Doralene F. Niedfelt, appointed John C. Niedfelt as Co -Trustee; 4. Doralene F. Niedfelt died on September 2, 2024, and pursuant to ARTICLE XIII, Paragraph 13.2 of said Jerome W. Niedfelt Trust, Settlor Jerome W. Niedfelt designated Barry W. Niedfelt and John C. Niedfelt to serve as Successor Co -Trustees of the Jerome W. Niedfelt Family Trust upon the death or resignation of the Settlors Spouse. Barry W. Niedfelt and John C. Niedfelt executed an Acceptance of Co -Trusteeship of the Jerome W. Niedfelt Family Trust effective as of September 2, 2024 wherein they accepted the Co -Trusteeship of said Family Trust and agreed to administer said Family Trust in accordance with the terms of said Jerome W. Niedfelt Trust and the laws of the State of Nebraska; 5. The Trust is irrevocable due to the death of the decedent, Jerome W. Niedfelt, and is in full force and effect; 6. Barry W. Niedfelt and John C. Niedfelt, are currently serving as Co -Trustees of said Family Trust and the Trust grants Affiants as Co -Trustees all powers under the Nebraska Uniform Trust Code; 7. The Internal Revenue Service issued a taxpayer identification number for the Family Trust; and 8. Carol S. Rhiley, Barry W. Niedfelt, Christie N. DePoorter and John C. Niedfelt are the beneficiaries of the Trust; and 9. The Trust Agreement has not been revoked or amended to make any representation contained in this Certification of Trust incorrect and the signature of Affiants are as the Co -Trustees under the terms of the Trust Agreement.
