Wheeler Ave., Grand Island, NE 68801 ("Grantor"), Wetlands America <br />Trust, Inc., a nonprofit corporation organized under the laws of the District of Columbia, with an address <br />012 of One Waterfowl Way, Memphis, TN 38120-2351 ("Grantee"), and Sean D. Gellatly and Jacqueline R. <br />Gellatly, husband and wife with an address of 3080 West Cedarview Road, Doniphan, NE 68832 <br />(collectively "Consentee). Grantor, Grantee, and Consentee may hereinafter be referred to individually as <br />C a "Party" and collectively as the "Parties." The following recitals of fact are a material part of this <br />instrument: <br />WHEREAS, Grantee is the owner of that certain real property adjacent to and contiguous with the <br />Grantor Property more particularly described on Exhibit A attached hereto and incorporated herein by <br />reference (the "Grantee Property"); <br />WHEREAS, Grantor is the owner of certain real property more particularly described on Exhibit <br />B attached hereto and incorporated herein by reference (the "Grantor Property"), except for an irregular - <br />shaped tract of land more particularly described in Exhibit C; <br />WHEREAS, Consentee is owner of certain real property that lies within the Grantor Property, but <br />excluded therein, more particularly described on Exhibit C attached hereto and incorporated' herein by <br />reference ("Consentee Property"); <br />WHEREAS, Grantor previously granted to Platte River Whooping Crane Maintenance Trust, Inc. <br />on or about November 28, 1984, an Easement Grant (the "1984 Easement Grant") recorded September 27, <br />1985, as Instrument No. 85-004717 in Hall County, Nebraska and incorporated herein by reference; <br />WHEREAS, Grantor shall retain as owner certain real property adjacent to the Grantor Property <br />more particularly described in Exhibit E attached hereto and incorporated herein by reference (the <br />"Retained Property"); <br />WHEREAS, only after execution and recordation of this Easement with the Register of Deeds in <br />Hall County, Nebraska, Grantor shall thereafter, in accordance with that certain Reciprocal Options <br />Agreement (the "Reciprocal Option") dated August 2, 2004, recorded June 30, 2005, as Instrument No. <br />200505932 in Hall County, Nebraska, transfer to Consentee the Grantor Property as described in Exhibit <br />B; <br />Page 1 of 12 <br />
