P 3: 21 <br />1\ \l I I ` OLD <br />REGISTER OF DEEDS <br />MEMORANDUM OF OPTION TO PURCHASE <br />c 22°' <br />This Memorandum of Option to Purchase (this "Memorandum") is made effective as of <br />December 11 , 2025 by and between Harlan Holdings, LLC, a Nebraska limited liability <br />company ("Owner"), and PVIPE, LLC, a Nebraska limited liability company ("PVIPE"). <br />1. PVIPE has previously sold to Owner that certain real estate in Hall County, <br />Nebraska legally described on Exhibit "A" attached hereto and incorporated herein by this <br />reference (the "Option Property") pursuant to a Real Estate Purchase Contract between Owner <br />and PVIPE dated March 14, 2025, as amended by that First Amendment to Real Estate Purchase <br />7-13 Contract dated August 18, 2025 (such purchase contract as amended, the "Agreement"). <br />- 4 2. Pursuant to the terms of the Agreement, and as additional consideration for the <br />sale of the Property by PVIPE to Owner, Owner granted to PVIPE an option to repurchase the <br />Property (the "Option") subject to the terms and conditions contained in the Agreement. <br />3. This Memorandum is executed and is to be recorded in the Register's Office of <br />Hall County, Nebraska, solely for recording purposes to provide notice of certain terms and <br />conditions contained in the Agreement and the existence of the Option and is not to be construed <br />as a complete summary of the terms and conditions of the Option. This Memorandum is subject <br />to the Agreement and any amendments, modifications, alterations, renewals, and extensions of <br />the Agreement. The terms and provisions of the Agreement are incorporated in this <br />Memorandum by reference.
