202505976 <br />The owner or owners of each suite, or some person designated by such owner or <br />owners to act as proxy on his/her or their behalf and who need not be an owner, shall be <br />entitled to cast the votes appurtenant to such suite at all meetings. The designation of <br />any such proxy shall be made in writing to the Secret <br />, and shall be revocable at an <br />time by written notice to the Secretary, by the owner or owners so designating. In <br />instances of other than individual ownership, any or all of such owners may be present at <br />any meeting of the owners and (those constituting a group acting unanimous)), may vote <br />or take any other action as an individual owner either in person or by proxy. Howver, <br />no person may act as proxy for the owner or owners of more than three (3) owners of <br />suites. The total number of votes of all suite owners shall be' 41 with each suite entitled <br />to one (1) vote. Garage owners are not entitled to additional voting rights , and each suite <br />owner. A fiduciary shall be the voting member with respect to any suite owned in a <br />fiduciary capacity. <br />Section 8. Majority Vote. <br />The vote of a majority of the votes of suite owners represented at a meeting at <br />which a quorum shall be present shall be binding upon all suite and garage owners for all <br />purposes except where in the Master Deed and Declaration or these Bylaws, a higher <br />percentage vote is required. <br />Section 9. Procedure. <br />The President shall preside over members' meetings and the Secretary shall keep <br />the minute book wherein the resolutions shall be recorded. <br />Section 10. Adjournment. <br />If any meeting of the Association cannot be held because a quorum has not. <br />attended, a majority in common interest of the suite owners who are present at such <br />meeting, either in person or by proxy, may adjourn the meeting to a time not less than <br />forty-eight (48) hours from the time the original meeting was called. <br />ARTICLE III. BOARD OF ADMINISTRATORS <br />Section 1. Number and Qualification <br />The affairs of the Association and the Windsor Square Condominium shall be <br />governed by the Board of Administrators of the Association. The Board of <br />Administrators shall be composed of not less than five (5) nor more than nine (9) persons, <br />all of whom shall be suite owners in Windsor Square Condominium. The initial number <br />of directors shall be seven (7). <br />Section 2. Powers and Duties. <br />4 <br />
