Lutheran High School Association of Central Nebraska, Incorporated filed Articles of Dissolution with the Nebraska Secretary of States Office on June 26, 2025. Under the Articles of Dissolution and the corresponding Agreement and Plan of Liquidation, all assets owned by Lutheran High School Association of Central Nebraska, Incorporated, including real estate, are to transfer to Central Nebraska Lutheran School, a Nebraska nonprofit corporation. By letter dated June 18, 2025, the Nebraska Attorney General's Office approved the Plan of Dissolution and transfer of all assets to Central Nebraska Lutheran School. Pursuant to Section 21-19,134 of the Nebraska Nonprofit Corporation Act, as amended, Lutheran High School Association of Central Nebraska, Incorporated continues its corporate existence and may carry on activities necessary to wind up and liquidate its affairs. Central Nebraska Lutheran School, a Nebraska nonprofit corporation, is Grantee. Central Nebraska Lutheran School is accepting receipt of the real property which is the subject of this Corporate Warranty Deed in conformity with Lutheran High School Association of Central Nebraska, Incorporated's Articles of Dissolution and corresponding Agreement and Plan of Liquidation. Conveyance Lutheran High School Association of Central Nebraska, Incorporated, a Nebraska nonprofit corporation, GRANTOR, in consideration of the terms and conditions of the Articles of Dissolution and the corresponding Agreement and Plan of Liquidation filed of record on June 26, 2025, as well as other good and valuable consideration, hereby conveys to Central Nebraska Lutheran School, a Nebraska nonprofit corporation, GRANTEE, certain real estate (as defined by Neb. Rev. Stat. §76-201) located in Hall County, Nebraska, as described on the attached Exhibit A which is incorporated into this instrument ("Subject Property"). GRANTOR covenants with GRANTEE that GRANTOR: (1) is lawfully seized of the Subject Property and that it is free from encumbrances; (2) has legal power and lawful authority to convey the same; and (3) warrants and will defend title to the Subject Property against the lawful claims of all persons.
