EXCEPTING A CERTAIN TRACT <br />MORE PARTICULARLY DESCRIBED AS LOT ONE, BOWERS <br />SUBDIVISION, RECORDED AS INSTRUMENT NUMBER 99109280 AT <br />HALL COUNTY REGISTER OF DEEDS; SAID SUBDIVISION HAS A <br />CALCULATED AREA OF 64425 SQUARE FEET OR 1.479 ACRES MORE <br />OR LESS. <br />SAID TRACT CONTAINS A CALCULATED AREA OF 4258014 SQUARE <br />FEET OR 97.751 ACRES, MORE OR LESS, OF WHICH 52129 SQUARE <br />FEET OR 1.197 ACRES, MORE OR LESS, ARE OCCUPIED AS COUNTY <br />ROAD RIGHT <br />WHEREAS, Grantees desire to obtain, and Grantors is willing to grant, a non-exclusive <br />easement to the Grantees, along with the successors in interest to Grantees' Property, for the <br />purpose of use of a private drive to afford access to the real estate owned by the Grantees, <br />subject to the condition that all obligations herein required are performed by Grantees or the <br />successors in interest to Grantees' Property, as the case may be. <br />NOW, THEREFORE, in consideration of the mutual covenants herein contained, it is <br />agreed: <br />1. Recitals. The foregoing recitals are incorporated herein by this reference. <br />2. Conveyance of Easement. For and in consideration of One Dollar ($1.00) and <br />other good and valuable consideration, the receipt and adequacy of which is hereby <br />acknowledged, the Grantors hereby grant and convey unto Grantees and their heirs, an easement <br />for ingress and egress over, through and upon that real estate described on Exhibit "A", which <br />Exhibit "A" is attached hereto and incorporated herein by this reference. ("Easement Area"). <br />3. Rights of Easement. Grantors further grant and convey unto Grantees and the <br />successors in interest to Grantees Property, full and free right and liberty for them, their invitees, <br />tenants, visitors, and licensees, in common with all others having the like right, at all times <br />hereafter, with or without vehicles of any description, for all purposes connected with the use <br />and enjoyment of Grantees Property for whatever purpose the said property may be from time to <br />time lawfully used and enjoyed, to pass and re -pass along the Easement Area for the purpose of <br />access to the Grantees Property. <br />4. Grantors' Retention of Rights. Such easement hereby established is specifically <br />subject to the reservation by the Grantors that the Easement Area may be used by the Grantees <br />and the successors in interest to Grantees Property, in conjunction with the use of the Grantors <br />and the successors in interest to Grantors Property, as to its entirety, and further subject to the <br />express understanding that the Grantors and the successors in interest to Grantors Property shall <br />in no way assume any liability or responsibility to Grantees, the successors in interest to <br />Grantees Property or any other person using the Easement Area by invitation, express or implied, <br />or by reason of any business conducted with the Grantees or the successors in interest to <br />Grantees Property. <br />The parties hereto agree that the responsibility and expense for the repair and <br />maintenance of the Easement Area shall be borne by the Grantors or the successors in interest to <br />Grantors Property, as the case may be. <br />5. Indemnification. Grantees, while they own Grantees Property and thereafter the <br />successors in interest to Grantees Property, shall indemnify and hold Grantors or the successors <br />Page 3 of 4 <br />
