202406660 <br />LOAN AGREEMENT <br />This Loan Agreement (this "Agreement") is made as ofbecember 27, 2024 by and <br />between Central Nebraska Growth Foundation, a Nebraska non-profit corporation (the "Lender"), <br />Innate 8, LLC, a Nebraska limited liability company, an affiliate of Full Circle Services, Inc., a <br />Nebraska corporation dba Innate Concepts (the "Borrower"), and Scott Rief (the "Guarantor"). <br />ARTICLE 1 <br />AMOUNT AND TERMS OF THE LOAN <br />Section 1.01 Loan. The Lender agrees on the terms and conditions contained in this <br />Agreement, to make a Loan to Borrower in the principal amount of up to Seven -Hundred and Fifty <br />Thousand and No/100 Dollars ($750,000.00) from Nebraska Affordable Housing Trust Fund <br />("NAHTF") funds granted to the Lender by the Department through the Program and received <br />pursuant to the Contract (the "Loan"). The Loan shall be evidenced by this Loan Agreement, the <br />Note, the Guaranty and the Deed of Trust; all of even date herewith, all as may be amended from <br />time to time, all of which are referred to collectively herein as the "Loan Documents". <br />Section 1.02 Financial Match Commitment. The Project requires a $200,000 matching <br />contribution (the "Matching Contribution"). The Matching Contribution shall be funded as <br />follows: $50,000 by the Lender and $150,000 by Borrower. The Matching Contribution shall be <br />used for initial construction expenses on a first use basis prior to any other funds being used and <br />shall be funded on a pro rata basis by Lender and Borrower until the Matching Contribution is <br />fully funded. The Matching Contribution is not part of the Loan. <br />Section 1.03 Advances. On a monthly basis after the Matching Contribution has been <br />fully funded, Borrower may request Advances of the Loan. In order to request an Advance, <br />Borrower shall provide Lender with invoices and proof of payment of such invoices equal to the <br />amount of the Advance and any other documentation required by the Department in order for <br />Lender to receive an advance of NAHTF funds under the Contract (such information, the <br />"Advance Documentation"). No later than five (5) days after Lender receives all of the Advance <br />Documentation from Borrower, Lender shall request an advance from the Department under the <br />Contract of an amount equal to the amount requested in the Advance Documentation. Within five <br />(5) days of receipt of the amount requested from the Department, Lender shall advance the amount <br />received from the Department to Borrower. Advances may not be requested more than once per <br />month and any amounts that have been advanced and subsequently repaid by Borrower shall not <br />be readvanced. <br />Section 1.04 Administrative Funds. Lender agrees to administer the funds in exchange <br />for $20,000 of administrative funding and $75,000 of housing management fees from the NAHTF <br />funds. <br />Section 1.05 Computation of Interest. The Note evidencing the Loan shall bear interest <br />at the rate of zero percent (0%) per year. <br />
