<br />This DEED OF TRUST is made effective as of the 12th day of December, 2024. The
<br />Trustor is JEMR, LLC, a Nebraska limited liability company, whose mailing address is 150 S.
<br />Apollo Avenue, Alda, Nebraska 68810 (herein, "Trustor"). The Trustee is Kevin P. Walsh,
<br />Attorney -at -Law, whose mailing address is 104 N. Wheeler Avenue, Grand Island, Nebraska
<br />68801. The Beneficiary is DOUBLERBM INC., a Nebraska corporation, whose mailing address
<br />is 150 S. Apollo Avenue, Alda, Nebraska 68810 (herein, `Beneficiary").
<br />For valuable consideration, Trustor irrevocably grants, transfers, conveys and assigns to
<br />Trustee, in trust, with power of sale, for the benefit and security of Beneficiary, under and subject
<br />to the terms and conditions of this Deed of Trust, the Trustor's interest in the following -described
<br />property located in Hall County, Nebraska, to -wit:
<br />Lot Two (2), Leon Subdivision, in the Village of Alda, Hall County, Nebraska.
<br />together with all improvements, fixtures and appurtenances located thereon or in any way
<br />pertaining thereto, and the rents, issues, profits, reversions and the remainders thereof, including
<br />all such personal property that is attached to the improvements so as to constitute a fixture, all of
<br />which, including replacements and additions thereto, are hereby declared to be a part of the real
<br />estate conveyed in trust hereby, it being agreed that all of the foregoing shall be hereinafter
<br />collectively referred to as the "Property".
<br />This Deed of Trust shall secure (a) the Guaranty of Trustor of even date herewith whereby
<br />Trustor absolutely and unconditionally guaranteed the prompt performance and payment when due
<br />of all indebtedness, liabilities and obligations of MATTHEW R. McCLURE and NICOLE C.
<br />McCLURE, husband and wife (herein "Borrowers") in accordance with the terms and conditions
<br />of an Agreement for Sale and Purchase of Membership Interest of even date herewith; (b) the
<br />payment of the principal sum and interest evidenced by a Promissory Note of even date herewith
<br />from Borrowers to Beneficiary having a maturity date of December 31, 2039, in the original
<br />principal amount of Three Million Nine Hundred Thousand and No/100 Dollars ($3,900,000.00),
<br />and any and all modifications, extensions, and renewals thereof or thereto, and any and all future
<br />advances and re -advances to Borrower hereunder pursuant to one or more promissory notes or
<br />credit agreements (herein called the "Note"); (c) the payment of other sums advanced by
<br />Beneficiary to protect the security of the Note; (d) the performance of all covenants and agreements
<br />of Trustor set forth herein; and (e) all present and future indebtedness and obligations of Borrower
<br />to Beneficiary, whether direct, indirect, absolute, or contingent and whether arising by note,
<br />guaranty, overdraft, or otherwise. The Note, this Deed of Trust, Agreement for Sale and Purchase
<br />of Membership Interest and any and all other documents securing the Note or otherwise executed
<br />in connection therewith, including without limitation guarantees and security agreements shall be
<br />referred to herein as the "Loan Instruments".
<br />Borrowers are the sole members of Trustor. The Note was delivered to Beneficiary as
<br />security for a purchase of a 99.99% Membership Interest in Trustor by Matthew R. McClure. This
<br />Deed of Trust is executed and delivered by Trustor consistent with the provisions of the Agreement
<br />for Sale of Purchase of Membership Interest to which Trustor, Beneficiary and Borrowers were
<br />parties.
<br />TRUSTOR COVENANTS AND AGREES WITH BENEFICIARY AS FOLLOWS:
<br />To protect the security of this Deed of Trust, Trustor hereby covenants and agrees as
<br />follows:
