202401647 <br />b. The "Note Rate" shall be a fixed rate of percent <br />( 7.90% %)and the amortization period will be nineteen (19) years and six (6) months. <br />c. The Maturity Date under the Loan Documents will be extended from March 31, <br />2024 to March 31, 2027. <br />Now, therefore, it is hereby agreed by and among the parties as follows: <br />5. Incorporation of Preliminary Matters. All of the provisions and statements in the <br />foregoing Preliminary Matters are affirmed by Lender and Borrower. <br />6. Third Modified Promissory Note. On May 31, 2019, Borrower executed and delivered <br />to Lender a Third Modified Promissory Note in the amount of $11,874,080.95 (the "Third Modified <br />Note"), as subsequently amended in 2021, which the parties agree shall remain in effect as modified <br />below. <br />that: <br />7. Loan Document Modifications. Effective upon the execution hereof: <br />a. The reference to the scheduled Maturity Date of the Promissory Note as set forth <br />in the Deed of Trust is hereby modified from March 31, 2024 to March 31, 2027; <br />b. Section 1 of the Third Modified Note is hereby amended and restated as follows: <br />1. The term "Note Rate" as used herein, shall mean a fixed rate of <br />( 7.90%). <br />c. Section 2 of the Third Modified Note is hereby amended and restated as follows: <br />2. Repayment. The said principal sum, together with interest upon the <br />outstanding principal balance from time to time shall be repaid in installments as <br />follows: <br />(a) Borrower shall commence principal and interest payments to <br />Lender in consecutive monthly installments on the 1st day of each month <br />commencing on the 1st day of May, 2024, based upon the Note Rate, the <br />principal amount of the Loan, and an amortization period of nineteen (19) years <br />and six (6) months; <br />(b) The entire principal balance of the Loan, together with accrued <br />interest and any other sums due hereunder, if not sooner paid, shall be paid in full <br />on March 31, 2027 (the "Maturity Date"). <br />d. Except as modified herein, all of the terms, conditions and provisions of the Loan <br />Documents are hereby ratified and confirmed and shall remain in full force and effect. <br />8. Representations and Warranties. Borrower hereby represents and warrants to Lender <br />a. To Borrower's knowledge, each of the representations and warranties set forth in <br />this Agreement and in the Loan Documents amended hereby are true and correct as of the date <br />hereof; <br />3 <br />
