Box 505 <br />Cairo, NE 68824 <br />RIGHT OF FIRST REFUSAL <br />Chad Hixon and Marla Hixon, husband and wife, (hereinafter collectively <br />"GRANTOR"), in consideration of One Dollar ($1.00) and other good and valuable <br />consideration, receipt of which is hereby acknowledged, grant and convey to Phillip Dibbern and <br />Lori L. Dibbem, husband and wife, (hereinafter collectively "GRANTEE"), a Right of First <br />Refusal on the following described real estate (as defined in Neb. Rev. Stat. Sec. 76-201) in <br />Hall County, Nebraska: <br />Lot One (1), Hixon Subdivision, Hall County, Nebraska. <br />Grantor hereby grants said right of first refusal under the following terms and conditions: <br />1. Before Grantor can sell, transfer, devise, gift, or otherwise convey such real <br />estate, Grantor must first offer said property to Grantee in writing. Grantee shall have thirty (30) <br />days from receipt of the written offer to exercise said right of first refusal. The Right of First <br />Refusal may be exercised by the Grantee delivering to Grantor, by hand or certified United <br />States mail, return receipt requested, a Notice of Exercise of Right of First Refusal. At that <br />time, Grantor and Grantee shall enter into a standard real estate contract for the purchase of <br />said real estate, with the real estate taxes for the year of sale being prorated to the date of <br />closing, the Grantor paying any documentary stamp tax, the parties sharing equally in the title <br />insurance costs, and the Grantee paying any recording fees. <br />2. The purchase price for said real estate shall be established by using a certified <br />real estate appraisal of the value of the land and any improvements located thereon. The <br />Grantor and Grantee shall mutually agree to a certified appraiser. <br />3.
