202400540 <br />BILL OF SALE <br />(Karen J. Codner) an individual, whose address is 1315 Lilly St Wood River <br />("Seller"), for and in consideration of Twenty Thousand <br />Dollars ($20,000.00) and other valuable consideration, do hereby sell, grant, transfer and deliver <br />unto NATHAN BURNETT, an individual, whose address is _18650 W Holling Rd Shelton Ne <br />68876_ ("Buyer"), its successors and assigns, the following described personal property <br />(collectively, "Personal Property") located on Union Pacific Railroad Company's ("UPRR") real <br />property in the City of Wood River , Hall County, State of Nebraska, as generally <br />described below and shown on the print attached hereto as Exhibit A and made a part hereof: <br />All buildings and improvements shown within the UPRR lease area as shown on <br />Exhibit A, including any and all appurtenances related to the support, operation, or use <br />of the above described structures. <br />Sellers represent and warrant: (1) that Sellers have good, sufficient, indefeasible, <br />marketable and insurable title in and to, and are the sole owners of, the Personal <br />Property; (2) that Sellers have authority to sell and convey the Personal Property without <br />breach of any other agreement; (3) that the Personal Property is free and clear of all <br />liens and encumbrances, and that no person or entity has or claims any security interest <br />or lien in or to the Personal Property including, but not limited to, any mortgage, deed of <br />trust, pledge or assignment; (4) that there are no mechanic's or materialmen's liens of <br />any kind or nature existing against the Personal Property, and that no work has been <br />done on the Personal Property or material furnished therewith that has not been paid for <br />that would be the basis of any mechanic's or materialman's liens to be enforced against <br />the Personal Property; and (5) that Sellers will defend title to and sale of the Personal <br />Property unto Buyer against any claims and demands of all and every person, persons <br />or entity whatsoever, when the claim is by, through, or under Sellers but not otherwise. <br />Buyer acknowledges that the real property in which the Personal Property rests <br />upon and being conveyed is on UPRR property and that prior to any use of the Personal <br />Property or entering the UPRR property, the buyer will enter into a lease agreement with <br />UPRR to cover the terms and conditions of the appropriate and agreed upon use of said <br />UPRR property. <br />IN WITNESS WHEREOF, Sellers have caused this instrument to be duly executed as of the <br />/ :3 day of 2, C , 2023. <br />peb va�V laz y <br />X)1 aiA 0-4)-(0-21 <br />Karen J.
