99-��361z <br /> EXHIBIT C <br /> LEASEHOLD DEED OF TRUST RIDER <br /> Leasehold Deed of Trust Rider attached to and made a part of that <br /> certain Leasehold Deed of Trust, dated as of March ,�, 1999 (the <br /> "Leasehold Deed of Trust") from Fazoli's Restaurants, Inc, a Kentucky <br /> corporation having its principal office at 2470 Palumbo Drive, Lexington, <br /> Kentucky 40509 (the "Grantor"), to Lawyers Title Insurance Corporation <br /> having its mailing address at 30 North LaSalle Street, Suite 3440, <br /> Chicago, Illinois 60602 (hereinafter referred to as the "Trustee"), for the <br /> benefit of BankBoston, N.A., a national banking association having its <br /> principal office at 100 Federal Street, Boston, MA 02110, as Agent for <br /> itself and the other Banks who are or may become parties to the Credit <br /> Agreement (the "Beneficiary" or "Grantee"). <br /> With intent to be legally bound, Grantor and Bene#"iciary agree that <br /> the following terms and conditions are herein made a part of the <br /> Leasehold Deed of Trust as an integral part thereof. The provisions of <br /> this Leasehold Deed of Trust Rider are supplementary to the provisions of <br /> the Leasehold Deed of Trust to which this Leasehold Deed of Trust Rider <br /> is attached and to the extent any provision of this Leasehold Deed of <br /> Trust Rider deals with the same subject matter as similar provisions of <br /> the Leasehold Deed of Trust, the provisions hereof are to be construed to <br /> expand such similar provisions and not to limit the general application of <br /> any general provision contained in the Leasehold Deed of Trust. To the <br /> extent any provision of this Leasehold Deed of Trust Rider conflicts with <br /> the Leasehold Deed of Trust, the language in the Leasehold Deed of Trust <br /> shall control. In case any one or more provisions of this Leasehold Deed of <br /> Trust Rider may be found to be invalid or unenforceable for any reason or <br /> in any respect, such invalidity or unenforceability shall not limit or impair <br /> enforcement of any other provisions of this Leasehold Deed of Trust Rider. <br /> Unless otherwise defined herein, capitalized terms used in the Leasehold <br /> Deed of Trust and this Leasehold Deed of Trust Rider shall have <br /> meanings ascribed to them in the Credit Agreement. <br /> 1. REPRESENTATIONS AND WARRANTIES. <br /> The Grantor hereby represents, covenants and warrants to <br /> Beneficiary as follows. <br /> 1.1. Title to Prouerty.
