200400188 <br />closing of the purchase and Sale of the property to be completed <br />within 45 days following T_";.angle's receipt of Duennerman's written <br />acceptance cf the offer represented by the sale notice, or as soon <br />::hereafter as may reasonably be possible. Notwithstanding t_be <br />foregoing or any other provision or term in they sale notice to the <br />contrary, the parties agree that, in the event Duennerman timely <br />elects to accept the offer evidenced by a sale notice in accordance <br />with the terms set forth herein, the following terms and provisiozns <br />shall apply to and govern the purchase and sale of this property, <br />and shall be incorporated into any final written agreement between <br />the parties providing for the purchase and sale of the property: <br />A.. At, the closing of the purchase and sale of the <br />property, Duennerman shall deliver puyrent of the <br />purchase price to Triangle in certified funds, <br />subect to the normal proration for Neal estate <br />taxes, assessments, and other charges contemplated <br />hereunder; <br />All closing coats shall be divided equally between <br />the parties, inclL:ding the cost of title in3urance <br />premiums, escrow closing agent fees, and other <br />costs and expenses, however, Triangle shall pay any <br />Nebraska documentary r.--amp taxes payable in <br />connection with the sale of this prapel•ty And any <br />capital gain tax related thereto. Duennerman shall <br />he responsible for paying any fling fees payable <br />upon recording of the Warranty Deed from Triangle <br />and all costs and expenses related to inspection of <br />the property performed at Duennerman's request; and <br />At the closing of the purchase and sale of the <br />property, Triangle shall execute, acknowledge and <br />deliver tc Duennerman a Warranty Deed conveying to <br />Duennezmar. marketable title to the property, free <br />and clear of all liens, mortgages, deeds of trust, <br />assessments, charges, leases (except those of wtUch <br />are disclosed) and adverse claims of any kind, <br />nat.,jre or Character whatsoever. <br />3. EALa - The right of first refusal is persona] to <br />Duennerman and may only be exercised by Duennerman, and shall not <br />be assignable to any other party or entity without express written <br />consent of Triangle. <br />4. gLjjjdng Effec The covenants, terms and provisions ser <br />forth herein shall be binding upon and inure to the benefit of the <br />parties hereto. <br />5. Gnvernircr Law.
