<br /> AGREEMENT SUBORDINATING A DEED OF TRUST Z

<br /> This Agreement is made this 30TH day of March, 1999, by and between Five --
<br /> Points Bank, Grand Island, A Nebraska Corporation, of Grand Island, Nebraska,
<br /> herei.n referred to as FIVE POINTS BANK, and Transportation Equipment Co. , Inc. , �
<br /> a Nebraska corporation, which has a principal place of busir.asa in Hall County, �•
<br /> Nebraska, herein referred to as LENDER.
<br /> The parties recite and declare that:
<br /> A. FIVE POINTS BANK is the owner and holder of a certain Note and Deed of
<br /> Trust dated September 12, 1997, which Deed of Trust is recorded in the Register
<br /> of Deeds Office of Hall County, Nebraska, on September 23, 1997, as Document
<br /> Number 97-107852 of that Coun�y, covering, in part, the following deacribed two
<br /> properties:
<br /> Lot Fourteen (14) Mehring and Giesenhagen Second Subdivision, a
<br /> replat of Lot Two (2) Mehring and Giesenhagen Subdivision, Hall
<br /> County, Nebraska, excepting a certain tract of land more
<br /> particularly described as follows:
<br /> A tract of land comprising part of Lots Twelve (12) thru Twenty
<br /> (20), inclusive, Mehring and Giesenhagen Second Subdivision, more
<br /> particularly described as follows: Beginning at the Southeast
<br /> corner of said Lot Twelve (12) ; thence Northwesterly along the
<br /> Easterly line of said Lots Twelve (12) thru Twenty (20) , inclusive,
<br /> to the intersection with a line Thirty (30.0) feet South of and
<br /> parallel to the North line of said Lot Twenty (20) ; thence Westerly
<br /> along a line Thirty (30.0) feet South of and parallel to said North

<br /> Nebraska, more particularly described as follows: Beginning at the
<br /> Northeast corner of said West Half of the Northeast Quarter (W%�NE'�) ;
<br /> thence Southerly along the East line of said West half of the
<br /> Northeast Quarter (W�NE'�) , a distance of Six Hundred Thirty-two and
<br /> Three Hundredths (632.03) feet to the Southeasterly right-of-way
<br /> line of U.S. Highway No. 30; thence deflecting right 64°30'20" and
<br /> running Southwesterly along said right-of-way line, a distance of

<br /> B. LENDER is about to loan the sum of Two Hundred Thousand and No Cents
<br /> ($200,000.00) on a Note and Deed of Trust securing such Note to provide for the
<br /> payment of a Note to LENDER secured by a Deed of Trust filed against the above
<br /> described property.
