Maser Koley n P.C., L.L.O. 1125 S 103 ' et, Suite 800 Omaha, NE 6812 REGISTER OF l {-' goo TERMINATION OF REAL ESTATE PURCHASE AND OPTION AGREEMENT This Termination of Real Estate Purchase and Option Agreement ("Termination Agreement") is made effective as of 20th day of June, 2023 ("Effective Date") by and between Wildwood Development, LLC, a Nebraska limited liability company ("Buyer"), Grand Island Economic Development Corporation, a Nebraska non-profit corporation ("EDC") and PVIPE, LLC, a Nebraska limited liability company (individually, "PVIPE" and with EDC, "Seller"). WITNESSETH WHEREAS, Buyer and Seller (collectively, the "Parties") entered into that certain Real Estate Purchase and Option Agreement dated June 16, 2015 ("Agreement"), describing the obligations of each party with respect to the purchase and sale of the real estate legally described on Exhibit A attached hereto and incorporated by this reference (the "Property"); WHEREAS, the Parties also executed and recorded that certain Memorandum of Real Estate Purchase and Option Agreement dated June 16, 2015, and recorded with the Hall County Register of Deeds on June 17, 2015, as Instrument No. 201504076 (the "Memorandum"); and WHEREAS, the Parties desire to terminate the Agreement and all obligations under the agreement and as a result of such termination, the Parties also desire to terminate the Memorandum. NOW, THEREFORE, in consideration of the mutual covenants and other valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Parties agree as follows: 1. The Agreement and all rights and obligations under the Agreement, including without limitation, all rights and obligations associated with the option to purchase the Property granted by Seller to Buyer in the Agreement, are hereby terminated by Buyer and Seller and shall have no further force or effect. 2. Seller is hereby authorized by Buyer to file this Agreement with the Register of Deeds of Hall County, Nebraska (and no other authorization or instruction shall be required from Buyer in order for Seller to proceed with such filing).
