200011180 <br />by Section 1.2 of the Trust Deed; (d) has not caused or permitted the storage or release of any <br />Hazardous Substances on the Real Estate (unless permitted by the Loan Documents); (e) is not <br />in default of any Lease and has not received rent for more than one month in advance pursuant <br />to any Lease; (f) has not entered into any Lease without the requisite consent of American <br />Family; (g) has not caused or permitted to occur any modification of any Lease without the <br />requisite consent of American Family first having been obtained; (h) each policy of insurance <br />required to be maintained pursuant to Section 3.1 of the Trust Deed is in full force and effect as <br />of the date hereof and no lapse in coverage thereunder occurred during the preceding year; and <br />(i) Borrower has provided American Family with copies of all insurance policies now in force <br />and all riders or modifications to each such policy. <br />The undersigned further represents that, to its Knowledge, the warranties, certifications <br />and representations herein made on behalf of Borrower to American Family are true and correct <br />in all material respects and are in no manner misleading. <br />The undersigned understands and acknowledges that American Family will act, or refrain <br />from acting, as the case may be, based upon the warranties, representations and certifications <br />which appear in this Certificate of Compliance. In the event any warranty, representation or <br />certification herein proves to be misleading or incorrect in any material respect, such warranty, <br />representation or certification shall constitute an Event of Default as defined and provided for in <br />Article Six of any Mortgage entitled "Events of Default and Remedies." <br />This Certificate of Compliance is executed by the undersigned for and on behalf of <br />Borrower by virtue of the authority vested in him as Secretary of Borrower, as the voluntary act <br />and deed of said corporations. <br />Dated this day of <br />REX RADIO AND TELEVISION, INC. <br />Edward M.
