200110619 <br />ASSIGNMENT <br />For value received, and without recourse except as set forth in the Branch Purchase and <br />Assumption Agreement dated as of February 3, 2001 (the Agreement), Firstar Bank, National <br />Association ( "Assignor ") hereby sells, assigns, transfers, conveys and delivers to Liberty Bank, <br />FSB, ( "Assignee "), and Assignee hereby accepts from Assignor, all of Assignor's right, title and <br />interest in the loans set forth on the attached Exhibit A (the "Loans "), together with any and all <br />collateral and security therefor (the "Collateral "), and all documents, instruments and agreements <br />executed or delivered in connection therewith, including without limitation, all loan agreements, <br />lease agreements, financing agreements, financing statements, promissory notes, security <br />agreements, mortgages, guarantees, certificates of title, financing statements, loan files, rights to <br />insurance, vendor's single interest rights, compliance documents, appraisals, title insurance <br />policies and other title reports, if any (the "Loan Documents "). In furtherance of this <br />Assignment, Assignor has executed and delivered to Assignee a Recordable Power of Attorney <br />of even date herewith.
