Wheeler Ave. <br />Grand Island, NE 68801 <br />EASEMENT AGREEMENT <br />THIS EASEMENT AGREEMENT ("Easement") is made as of this 3/ day of <br />�r , 2023, by and between GIAET, L.L.C. a Nebraska limited liability company <br />("Grantor"), and Conestoga North, L.L.C., a Nebraska limited liability company ("Grantee"). <br />WHEREAS, Grantor is the fee simple owner of a tract of land legally described as set <br />forth on Exhibit A attached hereto and referred to herein as "Parcel 1"; <br />WHEREAS, Grantee is the fee simple owner of a tract of land legally described as set <br />forth on Exhibit B attached hereto and referred to herein as "Parcel 2"; and <br />WHEREAS, Grantor desires to grant an easement across Parcel 1 for the benefit of Parcel <br />2 to provide for ingress and egress to Parcel 2; <br />NOW THEREFORE, Grantor hereby makes the following grant of easement rights: <br />1. Grant of Easement. Subject to the terms and conditions set forth in this <br />Agreement, Grantor hereby grants an easement across Parcel 1 for the benefit of Parcel 2 to <br />provide for ingress and egress to Parcel 2. The area of the easement granted hereby shall <br />hereinafter be referred to as the "Easement Area" and shall consist of: (a) the approximately 23 x <br />23 ft. concrete pad located on Parcel 1, which concrete pad is depicted and identified on Exhibit <br />D, which Exhibit D is incorporated herein by this reference; and (b) the parking lot of Parcel 1, <br />the area and configuration of which may modified from time to time by Parcel 1 Owner (as <br />defined below). <br />2. Scope of Easement. The easement in the Easement Area granted herein is for the <br />benefit of the fee simple owner of Parcel 2, along with its successors and assigns, (collectively <br />"Parcel 2 Owner") and constitutes a permanent non-exclusive easement in, over and through the <br />Easement Area, permitting the use of the Easement Area by Parcel 2 Owner, along with its <br />agents, employees, tenants, and invitees, for the purposes of ingress and egress to Parcel 2 for <br />normal and reasonable commercial use of Parcel 2. The rights granted herein with regard to the <br />Easement Area shall burden the fee simple owner of Parcel 1, along with its successors and <br />assigns, tenants, licensees and permittees (collectively "Parcel 1 Owner"). The Easement Area <br />shall be used by Parcel 2 Owner, along with its agents, employees, tenants, and invitees, solely <br />for the purposes set forth herein. <br />3. Maintenance. Parcel 2 Owner, at its sole cost and expense, shall maintain and <br />keep the concrete pad that is part of the Easement Area in good repair and free and clear of ice, <br />snow, rubbish, and obstructions of every kind. Parcel 1 Owner, at its sole cost and expense, shall <br />maintain and keep the parking lot of Parcel 1 that is part of the Easement Area, in good repair <br />and free and clear of ice, snow, rubbish, and obstructions of every kind. <br />4. Additional Terms. The Easement shall be subject to the following terms and <br />conditions: <br />a. The Easement shall be permanent and shall be appurtenant to and run with the <br />title to the land. <br />
