<br />For value received Nebraska Mil -Nic, Inc., a Nebraska Corporation, hereby assigns to Stratford Plaza,
<br />LLC, a Colorado Limited Liability Company, all of its' rights, title, and interest arising under a Exclusive
<br />Video Programming Service Agreement, dated the 18th day of July, 1996, by and between Nebraska Mil -
<br />Nic, Inc. and American Telecasting of Nebraska, Inc. for the provision of certain multi - channel video and
<br />audio programming and Stratford Plaza, LLC hereby assumes all of Nebraska Mil -Nic, Inc.'s obligations
<br />and responsibilities arising after the date of this Agreement under said Exclusive Video Programming
<br />Service Agreement.
