<br />NOTICE OF RIGHT OF FIRST REFUSAL TO PURCHASE AND NOTICE OF
<br />RIGHT OF FIRST REFUSAL TO LEASE
<br />NOTICE IS HEREBY GIVEN that pursuant to a certain right of first refusal to purchase
<br />and a certain right of first refusal to lease, the terms and conditions of which are provided in
<br />ARTICLE IX, Paragraphs B.9. and B.10. of the Leo E. Mettenbrink Family Trust created
<br />pursuant to ARTICLE IX, Paragraph B. of the Leo E. Mettenbrink Revocable Living Trust
<br />Agreement dated. August 25, 1999, as amended January 2, 2009 and October 27, 2014, the
<br />interest of CINDY SUE SWANSON and KATHLEEN ANN METTENBRINK, CO -
<br />TRUSTEES OF THE WILLIAM METTENBRINK TRUST; CINDY SUE SWANSON and
<br />KATHLEEN ANN METTENBRINK, CO -TRUSTEES OF THE CHASE METTENBRINK
<br />TRUST and CINDY SUE SWANSON and KATHLEEN ANN METTENBRINK, CO -
<br />TRUSTEES OF THE BAILEY METTENBRINK TRUST in the real estate described
<br />hereinbelow is subject to a right of first refusal to purchase and a right of first refusal to lease
<br />granted to KATHLEEN ANN METTENBRINK for the following described real estate, to -wit:
<br />The Northeast Quarter of the Northeast Quarter (NE1/4NE'/4) of Section Nine (9),
<br />Township Twelve (12) North, Range Nine (9) West of the 6th P.M., Hall County,
<br />Nebraska;
<br />The South Half of the Southwest Quarter (S'/ZSW'/4) of Section Twenty -Two (22),
<br />Township Twelve (12) North, Range Nine (9) West of the 6th P.M., Hall County,
<br />Nebraska. subject to the right of way of the Omaha & Republic Railroad Company (and
<br />its successors) over and across said land;
<br />The Southeast Quarter (SE'/4) and the Easterly One Hundred Feet (100') of the Southwest
<br />Quarter (SW',/4) of Section Eight (8), Township Twelve (12) North, Range Nine (9) West
<br />of the 6th P.M., Hall County, Nebraska, except that portion thereof conveyed to the State
<br />of Nebraska by Warranty Deed recorded in Book 77, Page 57, of the Deed Records of
<br />Hall County, Nebraska and except that portion thereof conveyed to the State of Nebraska,
<br />Department of Roads by Warranty Deed recorded as Document No. 92-104456 in the
<br />Office of the Register of Deeds of Hall County, Nebraska;
<br />The Southeast Quarter (SEA) of Section Ten (10) Township Twelve (12) North, Range
<br />Ten (10) West of the 6th P.M., Hall County, Nebraska, excepting a certain tract of land
<br />deeded to 4-M Agricultural Associates, Inc. by Personal Representative's Deed recorded
<br />as Document No. 79-001054.
<br />The terms and conditions of ARTICLE IX, Paragraphs B.9, and B.10. of the Leo E.
<br />Mettenbrink Revocable Living Trust Agreement dated August 25, 1999, as amended January 2,
<br />2009 and October 27, 2014 provide as follows:
<br />"9. Right of First Refusal -Sale. Upon the death of the Settlor's spouse, the
<br />Settlor hereby grants to the Settlor's daughter, Kathleen Ann Mettenbrink, if then living, a right
