Wheeler Avenue <br />Grand Island, Nebraska 68801 <br />gse <br />4164_11, <br />.it.e.e..) <br />Ak_,e <br />0,7 <br />Assignment and Assumption <br />of <br />License Agreement <br />This Assignment and Assumption Agreement ("Agreement") is made and entered this <br />day of October, 2022 ("Effective Date"), by and between SPIRIT IN THE SKY, L.L.C., A <br />Nebraska limited liability company ("Assignor"), and 520 3RD STREET, L.L.C., A Nebraska <br />limited liability company ("Assignee"). <br />WITNESSETH: <br />WHEREAS, Assignor desires to assign all of its right, title, and interest, in and to that <br />certain License Agreement dated May 14, 2018 between the City of Grand Island, Nebraska, a <br />Municipal Corporation, identified as "Licensor" and Assignor, which was filed of record on May <br />17, 2018 as Instrument No. 201803116 in the Office of the Hall County Register of Deeds, <br />together with License Agreement Amendment No. 1 dated August 15, 2018 and filed of record <br />on August 15, 2018 as Instrument No. 201805329 in the Office of the Hall County Register of <br />Deeds, License Agreement Amendment No. 1 dated September 4, 2019 and filed of record on <br />September 4, 2019 as Instrument No. 201905390 in the Office of the Hall County Register of <br />Deeds, and License Agreement Amendment No. 3 dated June 2, 2020 and filed of record on June <br />17, 2020 as Instrument No. 202004055 in the Office of the Hall County Register of Deeds, <br />(collectively, the "Agreement") as of the Effective Date; and <br />WHEREAS, Assignee desires to assume all of Assignor's right, title, and interest, in and <br />to the Agreement from and after the Effective Date. <br />In consideration of the foregoing recitals which are incorporated herein and are made a <br />Page 1 of 3 <br />
