<br />Pennsylvania 19044 -8015 ( "GMACCM ")( "Assignor "), as the holder of
<br />the instrument hereinafter described and for good and valuable
<br />consideration hereby endorses, assigns, sells, transfers and
<br />delivers to
<br />Wells Fargo Bank Minnesota, N.A., as trustee for the registered
<br />holders of GMAC Commercial Mortgage Securities, Inc., Mortgage
<br />Pass - Through Certificates, Series 2000 -C2, 1031 10t' Ave, S.E.,
<br />Minneapolis, MN 55414
<br />its successors, participants and assigns (collectively,
<br />"Assignee "), all right, title and interest of GMACCM in and to
<br />the following:
<br />A Deed of Trust and Security Agreement, by BRESLIN
<br />GRAND ISLAND ASSOCIATES, a Nebraska general
<br />partnership, (the "Borrower "), and GMACCM [to
<br />Lawyers Title Insurance Corporation, as trustee for
<br />the benefit of GMACCM,] dated as of April 28, 2000,
<br />and recorded on May 2, 2000, in the land records
<br />of Hall County, Nebraska, in book #, Page # , as
<br />Instrument # 200003557, securing the payment of a
<br />Promissory Note (the "Note "), dated of even
<br />date, in the original principal amount of
<br />$2,980,000.00 made by the Borrower, payable to the
<br />order of GMACCM, and encumbering the property
<br />described in Exhibit "A" attached hereto and by
<br />this reference made a part hereof.
