Knuth and Karen L. Knuth, husband and wife <br />(collectively "Knuth"), and Kenneth L. Clausen, a single person ("Clausen"). <br />WHEREAS, simultaneous with the execution of this Right of First Refusal, <br />Clausen is purchasing from Knuth the following described real property, to wit: <br />A tract of land comprising a part of the West Half of the Northeast <br />Quarter (WV2 NE%) and the West Half of the Southeast Quarter (Wi <br />SE%) of Section One (1), Township Ten (10) North, Range Ten (10) West <br />of the 6th P.M., Hall County, Nebraska, more particularly described as <br />follows: <br />Beginning at the Southwest corner of the Southeast Quarter of said <br />Section One (1); thence running easterly along the south line of said <br />Section One (1), on a bearing N 86°49'26" E, a distance of 535.95 feet to <br />the Actual point of beginning; thence N 03°10'36" W, a distance of 164.17 <br />feet; thence N 42°39'30" W on the chord of a curve to the right with a <br />radius of 1311.54 feet, a distance of 750.96 feet; thence S 88°48'42" W, a <br />distance of 32.59 feet; thence N 01°11'18" W, a distance of 1895.02 feet; <br />thence N 69°07'11" E, a distance of 1475.91 feet; thence S 00°39'08" E, a <br />distance of -3 - g=74t'eet; thence S 86°48'26" W, a distance of 825.56 feet <br />to the Actual point of beginning and containing 85.244 acres more or less <br />(the "Clausen Property"); and **3090.330, <br />WHEREAS, as a term and condition of the Agricultural Purchase Agreement <br />for the sale and purchase of the Clausen Property, and simultaneous with the closing <br />of that sale, Clausen has agreed to convey a right of first refusal to Knuth to purchase <br />the Clausen Property. <br />NOW, THEREFORE, in consideration of the foregoing and the covenants, <br />agreements and conditions contained in this Right of First Refusal, and for good and <br />valuable consideration, the receipt and sufficiency of which is hereby acknowledged, <br />Clausen and Knuth agree as follows: <br />1. Grant of Right of First Refusal. Clausen grants to Knuth the right <br />to purchase the Clausen Property on the terms and conditions hereinafter set forth. <br />In the event Clausen receives one or more bona fide offers to purchase all or any part <br />of the Clausen Property and any such offer to purchase shall be satisfactory to <br />Clausen, Clausen shall give Knuth the option of purchasing all or that part of the <br />Clausen Property at the price and on the terms of the third -party offer so made. <br />2. Notice of Right of First Refusal. This right of first refusal shall be <br />given by Clausen mailing by certified mail, return receipt required, or hand delivering <br />Page 1 of 4 <br />
