Knuth and Karen L. Knuth, husband and wife (collectively "Knuth"), and Kenneth L. Clausen, a single person ("Clausen"). WHEREAS, simultaneous with the execution of this Right of First Refusal, Clausen is purchasing from Knuth the following described real property, to wit: A tract of land comprising a part of the West Half of the Northeast Quarter (WV2 NE%) and the West Half of the Southeast Quarter (Wi SE%) of Section One (1), Township Ten (10) North, Range Ten (10) West of the 6th P.M., Hall County, Nebraska, more particularly described as follows: Beginning at the Southwest corner of the Southeast Quarter of said Section One (1); thence running easterly along the south line of said Section One (1), on a bearing N 86°49'26" E, a distance of 535.95 feet to the Actual point of beginning; thence N 03°10'36" W, a distance of 164.17 feet; thence N 42°39'30" W on the chord of a curve to the right with a radius of 1311.54 feet, a distance of 750.96 feet; thence S 88°48'42" W, a distance of 32.59 feet; thence N 01°11'18" W, a distance of 1895.02 feet; thence N 69°07'11" E, a distance of 1475.91 feet; thence S 00°39'08" E, a distance of -3 - g=74t'eet; thence S 86°48'26" W, a distance of 825.56 feet to the Actual point of beginning and containing 85.244 acres more or less (the "Clausen Property"); and **3090.330, WHEREAS, as a term and condition of the Agricultural Purchase Agreement for the sale and purchase of the Clausen Property, and simultaneous with the closing of that sale, Clausen has agreed to convey a right of first refusal to Knuth to purchase the Clausen Property. NOW, THEREFORE, in consideration of the foregoing and the covenants, agreements and conditions contained in this Right of First Refusal, and for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, Clausen and Knuth agree as follows: 1. Grant of Right of First Refusal. Clausen grants to Knuth the right to purchase the Clausen Property on the terms and conditions hereinafter set forth. In the event Clausen receives one or more bona fide offers to purchase all or any part of the Clausen Property and any such offer to purchase shall be satisfactory to Clausen, Clausen shall give Knuth the option of purchasing all or that part of the Clausen Property at the price and on the terms of the third -party offer so made. 2.
