200010301 <br />to the Declaration or these Bylaws, any budget changes, and any proposal to remove a director <br />or officer. <br />3.4 Quorum. A quorum at Member meetings shall consist of all of the Members who <br />are entitled to vote. The Members present at any meeting, though less than a quorum, may <br />adjourn the said meeting to a future time. <br />3.5 Majority Vote. Unless the Nebraska Uniform Condominium Act, Declaration, or <br />these Bylaws specify a required voting percentage on a certain matter, all other matters shall be <br />decided by a unanimous number of the eligible votes cast at any regular or special meeting. It <br />is contmplated that there will be only two members to this association. In the event of the <br />members inability to agree on any issue affecting the common elements or association, a <br />disinterested third party person with experience in real estate matters shall be selected by the <br />members to review the controversy and decide the issue which can not be resolved. Each <br />member shall equally pay the costs incurred by the third party in making the decision. <br />3.6 Designation of Voting Member. If a Unit is owned by one person, his /her right to <br />vote as the "Unit's Voting Member" shall be established by the record title to his /her Unit. If a <br />Unit is owned by more than one person, the person entitled to cast the vote for the Unit as the <br />"Unit's Voting Member" shall be designated by a certificate signed by all of the record Owners <br />and filed with the Secretary of the Association. If a Unit is owned by a corporation, the person <br />entitled to cast the vote for the Unit as the Unit's Voting Member shall be designated by a <br />certificate signed by the President or Vice President and attested by the Secretary or Assistant <br />Secretary of the corporation and filed with the Secretary of the Association. If the Unit is owned <br />by a partnership, whether general or limited, or a joint venture, the certificate designating the <br />Unit's Voting Member shall be signed by a general partner or joint venturer, as the case may be. <br />Such certificates shall be valid until revoked or until superseded by a subsequent certificate or <br />until a change in the ownership of the Unit concerned. A certificate designating the person <br />entitled to cast the vote for a Unit may be revoked by any Owner of that Unit. If such a <br />certificate is not on file, the vote of such Owners shall not be considered in determining the <br />requirement for a quorum nor for any other voting purpose. <br />3.7 Proxies. Votes may be cast in person or by proxy. A proxy may be made by any <br />Member entitled and eligible to vote. A proxy can be valid for a particular meeting designated in <br />the proxy or can be valid for any meeting until it is withdrawn. A proxy or withdrawal of proxy <br />must be filed with the Secretary before the appointed time of the meeting or any adjournment of <br />the meeting. A Unit Owner may not revoke a proxy except by actual notice of revocation to the <br />person presiding over a meeting of the Association. A proxy is void if it is not dated or purports <br />to be revocable without notice. A proxy terminates one year after its date, unless it specifies a <br />shorter term. <br />-3- <br />
