N- r <br />N <br />0 <br />er:di <br />E <br />g <br />m <br />m <br />1�aa <br />ASSIGNMENT OF AMENDED AND RESTATED DECLARATION b <br />OF COVENANTS, CONDITIONS AND RESTRICTIONS OF <br />THE VILLAS AT SOLLEY PARK <br />THIS ASSIGNMENT OF AMENDED AND RESTATED DECLARATION (this <br />"Assignment") is entered into as of this / o day of June, 2022, by JEH HOLDINGS, LLC, a <br />Nebraska limited liability company (the "Declarant"). Declarant does hereby transfer and assign <br />to THE VILLAS AT STOLLEY PARK OWNERS ASSOCIATION, INC., a Nebraska non-profit <br />corporation (the "Association"), all of Declarant's rights, title and interest in and to the Amended <br />and Restated Declaration of Covenants, Conditions and Restrictions of The Villas at Solley Park <br />dated December 20, 2019, as amended by that certain First Amendment to Amended and <br />Restated Declaration of Covenants, Conditions and Restrictions of The Villas at Solley Park dated <br />April 8, 2022 (the "Declaration"), covering the following property: <br />Lots 1-20, Outlots A, B, and C, in the Homady Second Subdivision, City of Grand Island, <br />Hall County, Nebraska <br />and recorded with the Hall County Register of Deeds as Instrument Number 201908192 and <br />Instrument 202203308. As a result of this Assignment, Declarant hereby notifies Association that <br />pursuant to the terms of the Declaration the Declarant Control Period (as defined in the <br />Declaration) is terminated. <br />Declarant shall retain its rights under the Declaration as an Owner (as defined in the <br />Declaration) for so long as Declarant owns a Residential Lot (as defined in the Declaration) <br />covered by the Declaration. <br />Declarant represents and warrants to Association that (a) Declarant is the sole holder of all of <br />the rights, title, interest, powers, and privileges granted to or reserved by the Declarant under the <br />Declaration, (b) Declarant has not previously assigned, transferred, conveyed, pledged, <br />encumbered, or hypothecated any of its rights, title, interest, powers, and privileges as Declarant <br />under the Declaration and (c) the Declaration is in full force and effect. <br />By accepting this Assignment, Association assumes all of the Declarant's liability under the <br />Declaration and agrees to perform all of the obligations and covenants imposed on the Declarant <br />under the Declaration. <br />This Assignment shall run with the land and shall inure to the benefit of and be binding upon <br />Declarant, Association and their respective successors and assigns. <br />This Assignment shall be govemed by the substantive laws of the State of Nebraska, without <br />regard to principles of conflicts of laws. <br />4893-8076-7012.1 <br />m <br />37 <br />Vl <br />rrl <br />
