<br />(Register of Deeds: Return after recording to
<br />SPECIAL WARRANTY DEED
<br />GRANTOR, Panthera Investment Group LLC, a Delaware Limited Liability Company, in
<br />consideration of One Dollar and No Cents ($1.00) and other good and valuable consideration received
<br />from GRANTEE, City of Grand Island, State of Nebraska, conveys to GRANTEE the following described
<br />real estate, (as defined in Neb. Rev. Stat.§ 76-201):
<br />The easterly forty (40) feet of vacated Wheeler Avenue located between lot five (5),
<br />block fifty-six (56) and lot eight (8), block fifty-seven (57), Original Town of Grand Island,
<br />now City of Grand Island, Hall County, Nebraska.
<br />GRANTOR, however, reserves to GRANTOR, its successors, assigns, and transferees, an
<br />easement in and to the westerly twelve (12) feet of the above-described real estate, for the benefit of
<br />said lot eight (8), block fifty-seven (57) and any improvements thereon, such easement being described
<br />as follows:
<br />1. for entry upon and ingress and egress over, and across for persons, and the movement of
<br />material, supplies, equipment, furniture, furnishings and appliances;
<br />2. for maintenance, inspection, painting, repair and replacement of buildings, structures,
<br />landscaping, and sidewalks; and
<br />3. for use, operation, maintenance, inspection, repair and replacement of all plumbing, drainage,
<br />electrical, phone, television, sewage, gas, domestic water, and other piping lines, ducts,
<br />conduits, cables, and all other facilities whatsoever now or later located in or upon said
<br />easement area.
<br />The property described in this deed is conveyed to and accepted by the GRANTEE subject to the
<br />condition that no buildings shall be erected thereon and that the land shall not be used for any other
<br />purpose than for pedestrian right-of-way and for beautifying the city, to which end the city shall
<br />establish and maintain thereon a public plaza with landscaping and that the City will enact ordinances to
<br />provide for its use and maintenance.
<br />GRANTOR covenants with GRANTEE that GRANTOR
<br />1. is lawfully seized of such real estate and that it is free from encumbrances, except easements,
<br />reservations, covenants and restrictions of record;
<br />2. has legal power and lawful authority to convey the same; and
