202203073 <br />partnership, limited liability company, corporation, trust or other entity shall not <br />require Clausen to give notice under this Right of First Refusal and it shall not <br />terminate the rights arising pursuant to this Right of First Refusal. No distribution <br />as a result of a probate or trust administration, assignment, formation of entity or <br />other voluntary transfer or conveyance shall impair Knuth's rights under this Right <br />of First Refusal with respect to a subsequent sale of all or any part of the Clausen <br />Property, and such rights shall be binding on the transferee with the same effect as <br />if such transferee was originally a grantor of the rights granted to Knuth by this <br />Right of First Refusal. <br />7. Assignment by Knuth. The rights and obligations of Knuth under this <br />Right of First Refusal may not be assigned by Knuth without the prior written <br />consent of Clausen. <br />8. Notice. All notices and demands herein shall be in writing and shall be <br />deemed sufficiently given when hand delivered or when deposited in the United <br />States mail, postage prepaid, certified mail, return receipt requested, addressed to: <br />Clausen at 3050 W. Guenther Rd., Grand Island, NE 68801, and to Knuth at 3554 W. <br />Wildwood Dr., Grand Island, NE 68803, or at such other address as either party shall <br />notify the other of in writing. <br />8. Term of Right of First Refusal. Unless otherwise terminated by <br />some other provision of this Right of First Refusal, the term of this Right of First <br />Refusal shall expire on the date which is twenty (20) years after execution of this <br />Right of First Refusal. Upon reaching said date, this Right of First Refusal shall be <br />of no further force or effect and no longer be binding upon the parties. <br />IN WITNESS WHEREOF, the parties have executed this Right of First <br />Refusal the date and year indicated above. <br />Larry/J.
