2G2GGO <br />extensions of credit to Mortgagor or Borrower until such time as Administrative Agent notifies Mortgagor <br />and the Loan Parties in writing of Secured Parties' willingness to make further advances or other extensions <br />of credit. Notices sent to Administrative Agent pursuant to the Pennsylvania Act shall be given pursuant <br />to the applicable provisions of this Mortgage. <br />Section 21.3. CONFESSION OF JUDGMENT. FOR PURPOSES OF SECURING <br />POSSESSION OF THE PROPERTY TO ADMINISTRATIVE AGENT FOR THE BENEFIT OF <br />ADMINISTRATIVE AGENT AND SECURED PARTIES AND ANY OTHER SECURED PARTY, <br />MORTGAGOR DOES HEREBY AUTHORIZE AND EMPOWER ANY PROTHONOTARY, <br />CLERK OF COURT OR ATTORNEY OF ANY COURT OF RECORD IN THE <br />COMMONWEALTH OF PENNSYLVANIA, AS ATTORNEY FOR MORTGAGOR, AS WELL AS <br />FOR ALL PERSONS CLAIMING UNDER, BY OR THROUGH MORTGAGOR, AFTER THE <br />OCCURRENCE OF DEFAULT, AND THE GIVING BY ADMINISTRATIVE AGENT TO <br />MORTGAGOR OF WRITTEN NOTICE THEREOF, TO SIGN AN AGREEMENT FOR THE <br />ENTERING IN ANY COMPETENT COURT OF AN ACTION IN EJECTMENT FOR THE <br />POSSESSION OF THE PROPERTY TOGETHER WITH THE HEREDITAMENTS AND <br />APPURTENANCES AND ALL EQUIPMENT, PERSONAL PROPERTY AND FIXTURES NOW <br />OR HEREAFTER INSTALLED UPON THE SAME, AGAINST MORTGAGOR AND ALL <br />PERSONS CLAIMING UNDER, BY, OR THROUGH MORTGAGOR, AND THEREIN TO <br />CONFESS JUDGMENT FOR THE RECOVERY OF SUCH POSSESSION BY <br />ADMINISTRATIVE AGENT, FOR WHICH THIS MORTGAGE, OR A COPY THEREOF <br />VERIFIED BY AFFIDAVIT, SHALL BE SUFFICIENT WARRANT; WHEREUPON, IF <br />ADMINISTRATIVE AGENT SO DESIRES, A WRIT OF POSSESSION MAY BE ISSUED <br />FORTHWITH ON SAID JUDGMENT, WITHOUT ANY PRIOR WRIT OR PROCEEDING <br />WHATSOEVER, MORTGAGOR HEREBY RELEASING ADMINISTRATIVE AGENT FROM <br />ALL PERSONS AND DEFECTS WHATSOEVER IN SAID PROCEEDINGS; AND THAT IF FOR <br />ANY REASON, AFTER SUCH ACTION HAS BEEN COMMENCED, THE SAME SHALL BE <br />DISCONTINUED, MARKED SATISFIED OF RECORD OR BE DETERMINED, OR <br />POSSESSION OF THE PROPERTY SHALL REMAIN IN OR BE RESTORED TO <br />MORTGAGOR, ADMINISTRATIVE AGENT SHALL HAVE THE RIGHT, FOR THE SAME <br />DEFAULT OR IN THE EVENT OF ANY SUBSEQUENT DEFAULT OR DEFAULTS, TO BRING <br />ONE OR MORE FURTHER AMICABLE ACTIONS IN EJECTMENT FOR POSSESSION OF <br />THE PROPERTY. <br />MORTGAGOR ACKNOWLEDGES THAT IT HAS BEEN REPRESENTED BY INDEPENDENT <br />LEGAL COUNSEL WITH RESPECT TO THIS MORTGAGE, THE NOTES AND ANY OTHER <br />LOAN DOCUMENTS AND MORTGAGOR HEREBY EXPRESSLY WAIVES ITS RIGHT TO <br />NOTICE AND HEARING WITH RESPECT TO THE CONFESSION OF JUDGMENT <br />PROVISIONS SET FORTH IN THIS SECTION. <br />ARTICLE XXII <br />Special Tennessee Provisions <br />Section 22.1. Inconsistencies. With respect to the Property located in the state of Tennessee, the <br />provisions set forth in this Article shall apply to and be made a part of the Mortgage. In the event of any <br />inconsistencies between the terms and provisions of this Article and the other terms and provisions of this <br />Mortgage, or to the extent, and only to the extent, any of the terms and provisions in this Article conflict <br />with, or are ambiguous when read together with, any of the other terms and provisions of this Mortgage, <br />the provisions of this Article shall govern.
