<br />DEEDS OF TRUST AND ASSUMPTION AGREEMENT
<br />Dated as of July 19, 2021 and effective as of May 26, 2021
<br />This MASTER ASSIGNMENT OF MORTGAGES AND DEEDS OF TRUST AND
<br />ASSUMPTION AGREEMENT (this "Agreement") is made by WELLS FARGO BANK, NATIONAL
<br />ASSOCIATION, having an address of MAC D1109-019, 1525 W, W T Harris Blvd, 1st Floor, Charlotte,
<br />NC 28262-8522, in its capacity as resigning Administrative Agent under the Credit Agreement described
<br />below (in such capacity, the "Resigning Agent") and TRUIST BANK, having an address of 303 Peachtree
<br />Street, N.E., Atlanta, Georgia 30308, Attention: Portfolio Manager, in its capacity as successor
<br />Administrative Agent under the Credit Agreement (in such capacity, the "Successor Agent").
<br />RECITALS
<br />WHEREAS, Blueknight Energy Partners, L.P., a Delaware limited partnership ("Borrower"), has
<br />entered into that certain Second Amended and Restated Credit Agreement, dated as of May 11, 2017, by
<br />and among Borrower, Resigning Agent, as administrative agent, and the other agents and lenders party
<br />thereto (as amended prior to May 26, 2021, the "Existing Credit Agreement"), pursuant to which the lenders
<br />party thereto severally agreed to make extensions of credit to Borrower upon the terms and subject to the
<br />conditions set forth therein;
<br />WHEREAS, the obligations of the Loan Parties under the Existing Credit Agreement are secured
<br />by, among other things, those certain Deed of Trust (for Arizona, California, Mississippi, Missouri,
<br />Montana, Nebraska, Nevada, North Carolina, Tennessee, Texas, Utah, and Washington), Credit Line Deed
<br />of Trust (Virginia), Mortgage (for Alabama, Arkansas, Colorado, Idaho, Illinois, Indiana, Kansas, New
<br />Jersey, Oklahoma, and Wyoming), Open End Mortgage (for Ohio and Pennsylvania), Deed to Secure Debt
<br />(Georgia), Assignment of Leases and Rents, Security Agreement, Fixture Filing and Financing Statement
<br />instruments, dated of even date with the Existing Credit Agreement, each recorded in the office designated
<br />for the filing of record of a mortgage or deed of trust (as applicable) in the jurisdictions listed in Exhibit A
