Box 270, Doniphan, NE 68832-0270 RESTRICTIVE COVENANT For and in consideration of Ten Dollars ($10.00) and other good and valuable consideration, receipt of which is hereby acknowledged, Bosselman Pump & Pantry, Inc., a Nebraska corporation, referred to herein as `Bosselman", hereby covenants with Bank of Doniphan, a Nebraska banking corporation referred to herein as "Bank of Doniphan", with respect to that certain real estate described in Exhibit "A" attached hereto (the "Property"), that for a period of five (5) years from the date of this instrument, (a) the Property shall not be used to operate a financial institution, including an ATM, without the prior written consent of Bank of Doniphan; and (b) in the event the Property is resold by Bosselman within such five (5) year period, any increase in the price for the sale of the Property over the purchase price paid by Bosselman to Bank of Doniphan shall be equally divided between Bosselman and Bank of Doniphan. These restrictions shall be binding upon the undersigned and any of its successors in interest, but shall cease automatically on the fifth anniversary of the date of this instrument, and shall thereafter be of no force or effect.
