High Street <br />Cairo, Nebraska 68824 <br />DEED OF TRUST <br />rn <br />rn <br />rn <br />N <br />V1 <br />rn <br />THIS DEED OF TRUST is made this /7 day of January, 2022, by and among R -Squared <br />Farms, LLC, a Nebraska Limited Liability Company, with an address of 2511 East White Cloud <br />Road, Grand Island, NE 68801, hereinafter referred to as "Trustor"; and Denise Myers, Attorney - <br />at -Law, hereinafter referred to as "Trustee", whose mailing address is 415 S. High Street, P.O. Box <br />505, Cairo, Nebraska 68824; and Steven A. Rauert, 4522 West Prairie Road, Grand Island, NE <br />68803, hereinafter referred to as "Beneficiary". <br />For valuable consideration, Trustor irrevocably grants, transfers, conveys and assigns to <br />Trustee, in trust, with power of sale, for the benefit and security of Beneficiary, under and subject <br />to the terms and conditions of this Deed of Trust, the Trustor's interest in the following -described <br />property located in the County of Hall, State of Nebraska, to -wit: <br />The Northeast Quarter (NE1/4) and the Northwest Quarter of the Southeast Quarter <br />(NW1/4SE1/4) and the North Half of the Northeast Quarter of the Southeast <br />Quarter (N 1 /2NE 1 /4SE 1 /4), all in Section Twenty -Seven (27), Township Twelve <br />(12) North, Range Nine (9) West of the 6th P.M., Hall County, Nebraska, except <br />parcels listed in Book 86, Page 306; Book 86, Page 373; and Book 86, Page 583. <br />together with all improvements, fixtures and appurtenances located thereon or in any way <br />pertaining thereto, and the rents, issues, profits, reversions and the remainders thereof, including <br />all such personal property that is attached to the improvements so as to constitute a fixture, all of <br />which, including replacements and additions thereto, are hereby declared to be a part of the real <br />estate conveyed in trust hereby, it being agreed that all of the foregoing shall be hereinafter <br />collectively referred to as the "Property". <br />This Deed of Trust shall secure (a) the payment of indebtedness evidenced by Promissory <br />notes of even date herewith in the principal sum of SIX HUNDRED THOUSAND and NO/100 <br />DOLLARS ($600,000.00) owed by Jason Rauert to Steven Rauert, which debt has a stated <br />maturity date of March 1, 2042, and any and all modifications, extensions, and renewals thereof <br />or thereto, and any and all future advances and re -advances to Trustor hereunder pursuant to the <br />promissory notes; (b) the payment of other sums advanced by Beneficiary to protect the security <br />of the Notes; (d) the performance of all covenants and agreements of Trustor set forth herein; and <br />(e) all present and future indebtedness and obligations of Trustor to Beneficiary, whether direct, <br />indirect, absolute, or contingent and whether arising by note, guaranty, overdraft, or otherwise. <br />The Notes, this Deed of Trust, and any and all other documents securing the Notes or otherwise <br />executed in connection therewith, including without limitation guarantees, security agreements, <br />and assignments of leases and rents, shall be referred to herein as the "Loan Instruments". <br />To protect the security of this Deed of Trust, Trustor hereby covenants and agrees as <br />follows: <br />1. Payment of Indebtedness. To pay when due, the principal of, and the interest on, <br />the indebtedness evidenced by the Notes, charges, fees and all other sums as provided in the Loan <br />Instruments. <br />
