<br />That Marilyn K. Denman, a widow, the "Grantor", of Hall County, Nebraska, for and in consideration of the
<br />sum of One Dollar ($1.00) and other good and valuable consideration, the receipt of which is hereby acknowledged,
<br />does hereby grant, remise, convey and relinquish unto NorthWestern Corporation, a Delaware corporation, d/b/a
<br />NorthWestern Energy, the "Grantee", of Huron, South Dakota, its successors or assigns, a gas utility easement for
<br />the installation, maintenance and operation of an underground natural gas pipeline along with all appurtenances
<br />thereto over, under, upon and through the following described lands situated in the County of Hall, the State of
<br />Nebraska, to -wit:
<br />A 10 -foot -wide tract of land consisting of part of the Northeast Quarter of the Southeast
<br />Quarter (NE1/4 SE114) of Section Twenty-two (22), Township Eleven North (T11N), Range Ten
<br />West (R10W) of the 6th Principal Meridian, Hall County, Nebraska, and more particularly
<br />described as follows:
<br />Commencing at the East Quarter (E114) corner of Section 22; thence on an assumed bearing
<br />of South 89°33'46" West, along the North line of the Southeast Quarter (SE114), a distance of
<br />70.00 feet to the Point of Beginning (POB); thence South 00°12'59" West, parallel with the
<br />East line of said SE1/4, a distance of 1325.09 feet to a point on the South line of the Northeast
<br />Quarter of the Southeast Quarter (NE114 SE1/4); thence South 89°05'55" West, along said
<br />South line, a distance of 10.00 feet; thence North 00°12'59" East, parallel with said East line,
<br />a distance of 1325.17 feet to a point on said North line of the SE1/4; thence North 89°33'46"
<br />East, along said North line, a distance of 10.00 feet to the POB; as illustrated in Exhibit "A"
<br />attached hereto. Said tract of land containing 0.304 acres, more or less.
<br />[The purpose of the above described easement is for an underground natural gas pipeline along
<br />with all appurtenances thereto (the "Facilities").]
<br />TO HAVE AND TO HOLD unto said Grantee, its successors and assigns, so long as such Facilities shall be
<br />maintained and operated, together with the right of ingress and egress from said premises for the purpose of
<br />surveying, constructing, installing, inspecting, repairing, maintaining, renewing and replacing the property of the
<br />Grantee located thereon, or removed thereof, in whole or in part, at the will of the Grantee.
