202109210 <br />outdoor advertising and that LESSEE shall have the sole right to construct and maintain <br />an outdoor advertising structure on the real estate. In the event LESSOR fails to terminate <br />any existing Lease for outdoor advertising on the real estate, the LESSOR must <br />immediately refund any monies paid in advance according to paragraph 3 to LESSEE and <br />this Lease shall terminate. <br />6. Insurance and Indemnification: LESSEE agrees to obtain and keep in force a <br />policy of public liability insurance for the protection of LESSEE and LESSOR against <br />liability arising out of the use of the leased real estate and the improvements placed <br />thereon by LESSEE. LESSEE agrees to indemnify and hold LESSOR harmless from all <br />claims of injury and damages to LESSOR or third parties caused by the installation and <br />maintenance of the outdoor advertising structure or displays on the outdoor advertising <br />structure on the leased real estate. <br />7. Termination: During the term of this Lease, should the use of the leased real <br />estate for the purposes permitted by this Lease be prohibited, limited or restricted by the <br />terms of any restriction, covenant, regulation, ordinance or zoning resolution affecting the <br />real estate, and in LESSEE'S opinion the location becomes economically or otherwise <br />undesirable, LESSEE may, at its option, terminate this Lease by giving LESSOR thirty (30) <br />days written notice of its election to do so, in accordance with paragraph 3. In addition, <br />either party may terminate this Lease upon breach by the other party if the breach has not <br />been remedied within thirty (30) days of receipt of such written certified mailing to the <br />breaching party. <br />8. Eminent Domain: If the leased property, or any part of the leased property, is <br />taken by eminent domain, this Lease shall terminate, at the option of LESSEE, and all <br />Lease payments shall cease at the end of the next full calendar month. <br />9. Written Notices: Any written certified notice shall be mailed to USA OUTDOOR, <br />L.L.C., Attn: Holly Mead, Lease Manager, at 409 E. 25th Street, Suite #5, Kearney, NE <br />68847. Written notice given by LESSOR to LESSEE shall be mailed to the address as <br />stated in paragraph 1 above, unless a new address is provided to LESSOR by LESSEE in <br />writing. <br />
