<br />GAS UTILITY EASEMENT
<br />KNOW ALL MEN BY THESE PRESENTS:
<br />That Gregory T. Baxter, Personal Representative of the Estate of Thomas Baxter, the "Grantor", of Hall
<br />County, Nebraska, for and in consideration of the sum of One Dollar ($1.00) and other good and valuable
<br />consideration, the receipt of which is hereby acknowledged, does hereby grant, remise, convey and relinquish unto
<br />Northwestern Corporation, a Delaware corporation, d/b/a Northwestern Energy, the "Grantee", of 600 Market
<br />Street West, Huron, South Dakota 57350, its successors or assigns, a gas utility easement for the installation,
<br />maintenance and operation of an underground natural gas pipeline along with all appurtenances thereto over, under,
<br />upon and through the following described lands situated in the County of Hall, the State of Nebraska, to -wit:
<br />A 10 -foot -wide strip of land consisting of part of the Southeast Quarter (SE114) of Section Ten
<br />(10), Township Eleven North (T11 N), Range Ten West (R10W) of the 6th Principal Meridian, Hall
<br />County, Nebraska, containing 0.385 acres, more or less, and more particularly described as:
<br />Commencing at the East Quarter (E114) corner of said Section 10; thence on an assumed
<br />bearing of South 89°1925" West, along the North line of the Southeast Quarter (SE114), a
<br />distance of 50.00 feet to the Point of Beginning; thence South 00°23'02" East, parallel to the
<br />East line of said SE114, a distance of 1,651.31 feet; thence North 89°36'58" East, a distance of
<br />17.00 feet to a point on the West County road right-of-way line of Engleman Road; thence
<br />South 00°23'02" East, along said West right-of-way line, a distance of 10.00 feet; thence South
<br />89°36'58" West, a distance of 27.00 feet; thence North 00°23'02" West, parallel to the East line
<br />of said SE114, a distance of 1,661.26 feet to a point on said North line of the SE114; thence
<br />North 89°19'25" East, along said North line, a distance of 10.00 feet to the Point of Beginning;
<br />as illustrated in Exhibit "A" attached hereto.
<br />[The purpose of the above described easement is for an underground natural gas pipeline
<br />along with all appurtenances thereto (the "Facilities").]
<br />TO HAVE AND TO HOLD unto said Grantee, its successors and assigns, so long as such Facilities shall be
<br />maintained and operated, together with the right of ingress and egress from said premises for the purpose of
<br />surveying, constructing, installing, inspecting, repairing, maintaining, renewing and replacing the property of the
<br />Grantee located thereon, or removed thereof, in whole or in part, at the will of the Grantee.
