<br />EASEMENT
<br />For good and valuable consideration, Liberty Park, Inc. ("Grantor") hereby grants unto Great Plains
<br />Communications LLC ("Grantee"), including its successors and assigns, the right, authority, and perpetual easement
<br />to install, construct, maintain, repair, replace, operate, and remove a telecommunications facility consisting of a utility
<br />building suitable for telecommunications networking, wires, cables, conduits, pedestals, cabinets, boxes, vaults,
<br />entrance facilities, driveways, equipment, generators, and other appurtenances upon, over, under, and across the
<br />following described real property, located in Hall County, Nebraska:
<br />See attached Exhibit A.
<br />This easement is to be arranged substantially as:
<br />See attached Exhibits B.1, B.2, and B.3, containing descriptions and site surveys.
<br />This easement includes a right of ingress to and egress from the easement area at any time to exercise any of the rights
<br />herein granted, including use of any existing driveways if viable. Grantor shall not do or permit anything that will
<br />interfere with Grantee's right to peaceably and quietly hold and enjoy the easement.
<br />Grantor represents it has lawful possession of the property and authority to make this grant, and Grantor, including its
<br />heirs, successors and assigns, will warrant and defend the same and will indemnify Grantee against the claims of all
<br />persons whomsoever in any way assert any right, title, interest, or use prior to or contrary to this grant.
<br />This easement shall be perpetual in duration; provided, Grantee shall have the right to terminate this easement at any
<br />time by giving 30 days' written notice to Grantor. Upon termination, Grantee shall owe no further consideration to
<br />Grantor and Grantee shall remove all improvements made on the property unless waived at that time by Grantor
<br />(except Grantee may abandon and leave any buried underground cables or facilities at any time). If it is determined
<br />the rule against perpetuities would negate Grantee's rights hereunder or invalidate the easement, then the term of this
<br />easement shall be deemed to be 99 years from its execution.
<br />In the case of any deficiency or inaccuracy contained herein, Grantor will fully cooperate with Grantee to remedy this
<br />easement.
