eSi <br />A <br />A se Su <br />w` <br />D <br />�I= <br />C,; <br />REAL ESTATE RETENTION AGREEMENT AFFORDABLE HOUSING PROGRAM RENTAL PROJECT <br />AHP Project Number: 2019A10018 <br />AHP Project Name: Mission Avenue W 9th Street <br />This Real Estate Retention Agreement ("Agreement") is by and between: <br />Heritage Bank <br />800 W 3rd St, PO Box 349, Hastings, NE 68902 <br />C' <br />("Member"), located at <br />Crossroads Center <br />702 W 14th St, Hastings, NE 68901 <br />("Sponsor"), located at <br />Crossroads Center <br />702 W 14th St, Hastings, NE 68901 <br />("Owner"), located at <br />and is effective as of <br />Member, Sponsor, and Owner are jointly referred to herein as the "Parties". <br />WHEREAS, Member submitted an application ("AHP Application") to the Federal Home Loan Bank of <br />Topeka ("FHLBank") for direct subsidy funds to be used in connection with the purchase, construction or <br />rehabilitation of the Project (defined herein) under the Affordable Housing Program ("AHP"); and <br />WHEREAS, the Parties and FHLBank have executed an Affordable Housing Program Agreement for Rental <br />Project, effective October 2, 2020 ("AHP Agreement"), which may be amended from time to <br />time, and which sets forth the respective duties and obligations of FHLBank and the Parties with regard <br />to the approval and funding of Member's AHP Application. <br />NOW THEREFORE, in consideration of the receipt of direct subsidy funds, in an amount not to exceed the <br />AHP subsidy award of $ 1,000,000 ("Subsidy"), under the AHP, in accordance with 12 <br />U.S.C. 1430(j), 12 CFR Part 1291, and the AHP Implementation Plan, and for other valuable consideration, <br />the receipt of which is hereby acknowledged, the Parties agree as follows: <br />Page 1 of 6 Revised: August 19, 2019 <br />ek <br />
