202105790 <br />RECIPROCAL CROSS -ACCESS EASEMENT AGREEMENT <br />THIS RECIPROCAL CROSS -ACCESS EASEMENT AGREEMENT (this "Agreement") <br />is made as of July 7, 2021, by and between Grand Island Joint Venture, LLC, a Missouri limited <br />liability company ("Grand Island JV" ), and Jammain, LLC, a Kansas limited liability company <br />("Jammain"). Grand Island JV and Jammain are sometimes hereinafter referred to each as a "Party" <br />and collectively as the "Parties". <br />RECITALS <br />WHEREAS, Grand Island JV owns the real estate and improvements located in Hall County, <br />Nebraska which is more particularly described on Exhibit A attached hereto and incorporated herein <br />by reference (the "Grand Island Property"). <br />WHEREAS, Jammain owns the real estate and improvements located in Hall County, <br />Nebraska which is more particularly described on Exhibit B attached hereto and incorporated herein <br />by reference (the "Jammain Property"). The Grand Island Property and the Jammain Property are <br />sometimes hereinafter referred to individually as a "Property" and collectively as the "Properties". <br />WHEREAS, Grand Island JV and Jammain desire to enter into the terms and provisions of this <br />Agreement to (i) subject and bind the Grand Island Property and Jammain Property to the covenants, <br />conditions, restrictions and equitable servitudes set forth below: and (ii) establish the easements set <br />forth below for the mutual benefit of Grand Island JV, Jammain, future owners and their respective <br />heirs, executors, successors, assigns, grantees, mortgagees and tenants. <br />AGREEMENT <br />NOW, THEREFORE, in consideration of the covenants and promises contained herein and <br />other good and valuable consideration. the receipt and sufficiency' of which are hereby acknowledged, <br />the undersigned Parties agree as follows: <br />1. Recitals Incorporated. The Recitals set forth hereinabove are hereby incorporated in <br />and made a part of this Agreement. <br />2. Grant of Reciprocal Access Easements. <br />(a) Jammain hereby grants and conveys unto Grand Island JV a non-exclusive, <br />perpetual easement for pedestrian and vehicular access, ingress and egress over, upon and <br />across all paved entryways, driveways, and curbcuts on the Jammain Property by Grand Island <br />JV and its Permittees (as subsequently defined herein). <br />(b) Grand Island JV hereby grants and conveys unto Jammain a non-exclusive, <br />perpetual easement for pedestrian and vehicular access, ingress and egress over, upon and <br />across all paved entryways, driveways, and curbcuts on the Grand Island Property by Jammain <br />and its Permittees. <br />(c) The Parties acknowledge and agree that the easements granted in Section 2(a) <br />and 2(b) of this Agreement (collectively. the "Easements') shall benefit the respective <br />Properties in their current configuration or any subsequent subdivision of such Properties, <br />subject to the terms and conditions contained in this Agreement.
