<br />GAS UTILITY EASEMENT
<br />KNOW ALL MEN BY THESE PRESENTS:
<br />That the City of Grand Island, Nebraska, the "Grantor", of Hall County, Nebraska, for and in consideration
<br />of the sum of One Dollar ($1.00) and other good and valuable consideration, the receipt of which is hereby
<br />acknowledged, does hereby grant, remise, convey and relinquish unto Northwestern Corporation, a Delaware
<br />Corporation, d/b/a Northwestern Energy, the "Grantee", of 600 Market Street West, Huron, South Dakota 57350,
<br />its successors or assigns, a gas utility easement for the installation, maintenance and operation of a gas regulation
<br />station along with all appurtenances thereto over, under, upon and through the following described lands situated in
<br />the county of Hall, the state of Nebraska, to wit:
<br />A tract of land consisting of part of the Northeast Quarter of the Northeast Quarter (NE114
<br />NE1/4) of Section Twenty-three (23), Township Eleven North (T11 N), Range Ten West (R10W)
<br />of the 6th Principal Meridian, Hall County, Nebraska, containing 3,150 square fi:et, more or
<br />less, and more particularly described as follows:
<br />Commencing at the Northeast corner of said Section 23; thence on an assumed bearing of
<br />North 89°29'35" West, along the North line of the Northeast Quarter (NE1/4), a distance of
<br />412.90 feet; thence South 00°04'49" East, a distance of 40.00 feet to the Point of Beginning;
<br />thence South 89°29'35" East, parallel to said North line, a distance of 45.00 feet; thence South
<br />00°04'49" East, a distance of 70.00 feet; thence North 89°29'35" West, parallel to said North
<br />line, a distance of 45.00 feet; thence North 00°04'49" West, a distance of 70.00 feet to the Point
<br />of Beginning; as illustrated in Exhibit "A" attached hereto.
<br />[The purpose of the above described easement is for a gas regulator station along with all
<br />appurtenances thereto (the "Facilities").]
<br />TO HAVE AND TO HOLD into said Grantee, its successors and assigns, so long as such Facilities shall be
<br />maintained and operated, together with the right of ingress and egress from said premises for the purpose of
<br />surveying, constructing, installing, inspecting, repairing, maintaining, renewing and replacing the property of the
<br />Grantee located thereon, or removed thereof, in whole or in part, at the will of the Grantee.
