<br />GAS UTILITY EASEMENT

<br />That Barbara M. Irvine, a single person, the "Grantor", of the county of Hall, the state of Nebraska, for and
<br />in consideration of the sum of One Dollar ($1.00) and other good and valuable consideration, the receipt of which is
<br />hereby acknowledged, does hereby grant, remise, convey and relinquish unto Northwestern Corporation, a
<br />Delaware Corporation, d/b/a Northwestern Energy, the "Grantee", of Huron, South Dakota, its successors or
<br />assigns, a gas utility easement for the installation, maintenance and operation of an underground natural gas pipeline
<br />along with an aboveground valve assembly and all other appurtenances thereto over, under, upon and through the
<br />following described lands situated in the county of Hall, the state of Nebraska, to -wit:
<br />A tract of land consisting of part of the West Half of the Southwest Quarter (W112 SW1/4) of
<br />Section Fourteen (14), Township Eleven North (T11N), Range Ten West (R10W) of the 6th
<br />Principal Meridian, Hall County, Nebraska, and more particularly described as follows:
<br />Commencing at the West Quarter (W114) corner of said Section 14; thence on an assumed
<br />bearing of South 89°58'19" East, along the North line of the Southwest Quarter (SW1/4), a
<br />distance of 50.00 feet to the Point of Beginning; thence continuing South 89°58'19" East,
<br />along said North line, a distance of 10.00 feet; thence South 00°14'09" East, parallel with the
<br />West line of said SW1/4, a distance of 2,596.42 feet; thence North 89°38'29" East, parallel with
<br />the South line of said SW1/4, a distance of 1,260.74 feet to a point on the East line of the West
<br />Half (W1/2) of the SW114; thence South 00°17'59" West, along said East line, a distance of
<br />22.00 feet to a point on the North county road right-of-way line of Old Potash Highway; thence
<br />South 89°38'29" West, along said right-of-way line, a distance of 10.00 feet; thence North
<br />00°17'59" East, parallel with the East line of the W112 of the SW1/4, a distance of 12.00 feet;
<br />thence South 89°38'29" West, parallel with the South line of said SW1/4, a distance of 1,277.75
<br />feet to a point on the East county road right-of-way line of Engleman Road; thence North
<br />00°14'09" West, along said East right-of-way line, a distance of 10.00 feet; thence North
<br />89°38'29" East, a distance of 17.00 feet; thence North 00°14'09" West, parallel to said West
<br />line of the SW1/4, a distance of 2,596.49 feet to the Point of Beginning; as illustrated in
<br />attached Exhibit "A". Said tract of land containing 0.894 acres, more or less.
<br />[The purpose of the above described easement is for an underground natural gas pipeline along
<br />with an aboveground valve assembly and all other appurtenances thereto (the "Facilities").]
