200009587 <br />person or persons to serve as involuntarily appointed guardian of my person or conservator of my <br />assets and estate; and, by this instrument, I generally authorize and empower my attorney -in -fact <br />at any time or from time to time both to secure and to terminate the voluntary appointment of my <br />attorney -in -fact or of any other person or persons nominated by him to serve as guardian of my <br />person or conservator of my assets and estate. <br />20. Successor and substitute agents. If my attorney -in -fact named in this instrument <br />resigns, dies or becomes unable or unwilling to continue to serve, then I appoint PATRICIA A. <br />GLEE to so serve, having all the powers accumulated herein. In the event that PATRICIA A. <br />GLEE is unable or unwilling to serve hereunder, then I appoint MATTHEW W. WILLIAMS to <br />so serve. <br />21. Compensation and expense. My attorney -in -fact is entitled, by payment from the <br />assets of Principal or otherwise, to reasonable compensation at reasonable intervals for services <br />rendered pursuant to this instrument and is also entitled by exoneration, reimbursement or other <br />indemnity, from the assets of Principal or otherwise, to recovery for all costs personally incurred <br />pursuant to this instrument. <br />22. Alteration and revocation. By this instrument, the Principal reserves no power or <br />right to alter this instrument in any respect; but, Principal has and hereby reserves the power and <br />right at any time to revoke this instrument in its entirety by the subsequent execution by Principal <br />or for Principal by a lawfully appointed, authorized and empowered conservator or similar legal <br />custodian or representative of the assets and estate of Principal of a specific instrument of <br />revocation of this instrument and effective immediately with such execution or thereafter as <br />stipulated by such instrument of revocation, or by the recordation of any such instrument of <br />revocation in or with any appropriate office of public record for the domicile of Principal at the <br />time of such recordation or in or with any such office where this instrument has been recorded <br />and effective immediately with such recordation. <br />IN WITNESS WHEREOF, I have hereunto signed this Durable and General Power of <br />Attorney this t.2-u6 day of March, 1998. <br />J, --� '� 1� 'i <br />LORETTA A.
