O7 <br />a✓? <br />ru <br />CiT <br />ARCHER-DANIELS-MIDLAND COMPANY, a Delaware corporation ("Seller"), in consideration of Twenty <br />Thousand Dollars ($20,000.00) and other good and valuable consideration to it pay by AF FUNDS, L.L.C., a <br />Nebraska limited liability company (hereinafter referred to as "Buyer"), the receipt of which is hereby <br />acknowledged, does herby BARGAIN, SELL, AND DELIVER to Buyer, its successors and assigns, the <br />following personal property and real estate items (hereinafter referred to collectively as "Personal <br />Property"): <br />The personal property, real estate, and Assets owned by the Seller and located on real <br />property owned by The Union Pacific Railroad Company in Grand Island Nebraska, <br />commonly known as 3410 W. 2nd Street, Grand Island, Nebraska and legally known as <br />03410 \W 2ND IMPROVEMENTS ONLY LOCATED ON NW 1/4 20-11-9 HALL COUNTY, <br />NEBRASKA LANDOWNER: UNION PACIFIC RAILROAD parcel #400267004. <br />Seller covenants and warrants to Buyer that it is the true and lawful owner of the Personal <br />Property, that the Personal Property is free from all liens, encumbrances, security interests, special taxes <br />and assessments and that Seller has a good right to sell it. <br />THE PERSONAL PROPERTY HAS BEEN PURCHASED BY BUYER "AS IS," "WHERE IS" AND "WITH ALL <br />FAULTS" AND BUYER ACKNOWLEDGES THAT THE SELLER GIVES NO WARRANTY, EXPRESS OR IMPLIED, <br />AS TO DESCRIPTION, CONDITION, QUALITY, MERCHANTABUTY, FITNESS FOR ANY PURPOSE, <br />PRODUCTIVENESS OR ANY OTHER MATTER WHATSOEVER WITH RESPECT TO THE PERSONAL PROPERTY. <br />IN NO EVENT SHALL SELLER BE LIABLE FOR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGERS <br />OR DAMAGES RELATING TO LOAST PROFITS.
