200109057 <br />If to Assignor: <br />Pedcor Investments - 1999 -XL, L.P. <br />8888 Keystone Crossing, Suite 900 <br />Indianapolis, IN 46240 <br />Facsimile No. (317) 587 -0340 <br />Attn: Phillip J. Stoffregen <br />or at such other address or facsimile number as shall be designated by such party in a written notice to the <br />other parties hereto. All such notices and communications shall be effective (a) if personally delivered, <br />when delivered, (b) if sent by certified mail, three days after having been deposited in the mail, postage <br />prepaid, (c) if sent by overnight courier, one business day after having been given to such courier, or (d) if <br />transmitted by facsimile, when sent. <br />20. This Assignment shall be binding upon and inure to the benefit of Assignee and its <br />successors and assigns and Assignor and its heirs, successors and permitted assigns. <br />21. No modification of any provision of this Assignment, no approvals required from Assignee <br />and no consent by Assignee to any departure therefrom by the Assignor shall be effective unless such <br />modification, approval or consent shall be in writing and signed by a duly authorized officer of Assignee, <br />and the same shall then be effective only for the period and on the conditions and for the specific instances <br />and purposes specified in such writing. <br />22. This Assignment shall terminate automatically when the Letter of Credit is paid in full and <br />the Deed of Trust is fully released and discharged. <br />23. This Assignment shall be governed by and construed in accordance with the laws of the <br />State of Missouri without regard to conflict of laws principles. <br />24. Assignor hereby irrevocably submits to the jurisdiction of any State or Federal court sitting <br />in Hall County, City of Grand Island, Nebraska over any action or proceeding arising out of or relating to <br />this Assignment, and Assignor hereby irrevocably agrees that all claims in respect to such action or <br />proceeding may be heard and determined in such State or Federal court. Assignor hereby irrevocably <br />waives, to the fullest extent it may effectively do so, the defense of an inconvenient forum to the <br />maintenance of such action or proceeding. Assignor irrevocably consents to the service of any and all <br />process in any such action or proceeding by the mailing of copies of such process to Assignor at its address <br />set forth below. Assignor agrees that a final judgment in any such action or proceeding shall be conclusive <br />and may be enforced in other jurisdictions by suit on the judgment or in any other manner provided by law. <br />25. ASSIGNOR HEREBY WAIVES ANY RIGHT TO TRIAL BY JURY (WHICH <br />ASSIGNEE ALSO WAIVES) IN ANY ACTION, SUCH PROCEEDING OR COUNTERCLAIM OF <br />ANY KIND ARISING OUT OF OR RELATING TO THIS ASSIGNMENT, ANY LIABILITIES OR <br />ASSIGNEE'S CONDUCT IN RESPECT TO ANY OF THE FOREGOING. <br />5 <br />
