Stoffregen or at such other address or facsimile number as shall be designated by such party in a written notice to the other parties hereto. All such notices and communications shall be effective (a) if personally delivered, when delivered, (b) if sent by certified mail, three days after having been deposited in the mail, postage prepaid, (c) if sent by overnight courier, one business day after having been given to such courier, or (d) if transmitted by facsimile, when sent. 20. This Assignment shall be binding upon and inure to the benefit of Assignee and its successors and assigns and Assignor and its heirs, successors and permitted assigns. 21. No modification of any provision of this Assignment, no approvals required from Assignee and no consent by Assignee to any departure therefrom by the Assignor shall be effective unless such modification, approval or consent shall be in writing and signed by a duly authorized officer of Assignee, and the same shall then be effective only for the period and on the conditions and for the specific instances and purposes specified in such writing. 22. This Assignment shall terminate automatically when the Letter of Credit is paid in full and the Deed of Trust is fully released and discharged. 23. This Assignment shall be governed by and construed in accordance with the laws of the State of Missouri without regard to conflict of laws principles. 24. Assignor hereby irrevocably submits to the jurisdiction of any State or Federal court sitting in Hall County, City of Grand Island, Nebraska over any action or proceeding arising out of or relating to this Assignment, and Assignor hereby irrevocably agrees that all claims in respect to such action or proceeding may be heard and determined in such State or Federal court. Assignor hereby irrevocably waives, to the fullest extent it may effectively do so, the defense of an inconvenient forum to the maintenance of such action or proceeding. Assignor irrevocably consents to the service of any and all process in any such action or proceeding by the mailing of copies of such process to Assignor at its address set forth below. Assignor agrees that a final judgment in any such action or proceeding shall be conclusive and may be enforced in other jurisdictions by suit on the judgment or in any other manner provided by law. 25. ASSIGNOR HEREBY WAIVES ANY RIGHT TO TRIAL BY JURY (WHICH ASSIGNEE ALSO WAIVES) IN ANY ACTION, SUCH PROCEEDING OR COUNTERCLAIM OF ANY KIND ARISING OUT OF OR RELATING TO THIS ASSIGNMENT, ANY LIABILITIES OR ASSIGNEE'S CONDUCT IN RESPECT TO ANY OF THE FOREGOING. 5
