<br />ASSIGNMENT OF RENTS, LEASES AND OTHER BENEFITS
<br />THIS ASSIGNMENT OF RENTS, LEASES AND OTHER BENEFITS (this "Assignment ")
<br />is made and entered into as of the 1St day of September, 2001, by PEDCOR INVESTMENTS- 1999 -XL,
<br />L.P., an Indiana limited partnership whose address is 8888 Keystone Crossing, Suite 900, Indianapolis,
<br />IN 46240 ( "Assignor "), in favor of LASALLE BANK NATIONAL ASSOCIATION, as Trustee,
<br />Corporate Trust, Suite 1960, 135 South LaSalle Street, Chicago, Illinois 60603 ( "Assignee ").
<br />WITNESSETH
<br />Assignor, for good and valuable consideration, and to secure
<br />(a) each of the following:
<br />(i) that certain Promissory Note dated September 6, 2001, in the original
<br />amount of $6,400,000.00 (the "Note "), from the Assignor to the
<br />Nebraska Investment Finance Authority (the "Issuer "), which the Issuer
<br />has endorsed, without recourse, and delivered to the Assignee;
<br />(ii) the Bond Documents (as defined in the Trust Indenture dated as of
<br />September 1, 2001 (the "Indenture "), between the Issuer and the
<br />Assignee), including without limitation this Assignment; and
<br />(iii) any and all other agreements and obligations of Grantor from time to
<br />time in favor of Grantee; and
<br />(b) all additional security agreements, mortgages, deeds of trust, assignments or
<br />other security instruments which are executed and delivered of evidence, govern
<br />or secure obligations of Grantor under the documents described in clause (a)
<br />above;
